Termination of Servicing Notice. Seller shall give notice to Buyer promptly upon (a) receipt or notice or knowledge of any default, notice of termination of servicing for cause under any Servicing Contract or other servicing agreement regardless of whether such agreement or the rights thereunder constitute “Purchased Assets” or “Repurchase Assets” hereunder or (b) receipt or notice or knowledge of any resignation of servicing, termination of servicing or notice of resignation of or termination of servicing, under any Servicing Contract or other servicing agreement regardless of whether such agreement or the rights thereunder constitute “Purchased Assets” or “Repurchase Assets” hereunder.
Termination of Servicing Notice. Seller shall give notice to Buyer promptly but not later than two (2) Business Days after receipt of notice or knowledge by a Responsible Officer of (i) any material default, notice of termination of servicing for cause or notice of any other matter materially and adversely affecting the Purchased Assets under the Gxxxxx Mxx Contract or (ii) any resignation of servicing, termination of servicing or notice of resignation of or termination of servicing, under the Gxxxxx Mxx Contract, outside the ordinary course of business.
Termination of Servicing Notice. Borrower shall give notice to Lender promptly upon (a) receipt or notice or knowledge of any default, notice of termination of servicing for cause under any Servicing Contract or other servicing agreement regardless of whether such agreement or the rights thereunder constitute “Collateral” hereunder or (b) receipt or notice or knowledge of any resignation of servicing, termination of servicing or notice of resignation of or termination of servicing, under any Servicing Contract or other servicing agreement regardless of whether such agreement or the rights thereunder constitute “Collateral” hereunder.
Termination of Servicing Notice. The Borrower shall give notice to the Administrative Agent promptly but not later than [***] after receipt of notice or knowledge by a Responsible Officer of (i) any default, notice of termination of servicing for cause or notice of any other matter materially and adversely affecting the Ginnxx Xxx XXXs under the Ginnxx Xxx Xxxvicing Contract or other servicing contract regardless of whether such agreement or the rights thereunder constitute “Ginnxx Xxx XXXs” hereunder or (ii) any resignation of servicing, termination of servicing or notice of resignation of or termination of servicing, under the Ginnxx Xxx Xxxvicing Contract or other servicing contract regardless of whether such agreement or the rights thereunder constitute “Ginnxx Xxx XXXs” hereunder, or of Borrower’s inability to comply with the eligibility requirements for maintaining all applicable approvals to HUD, FHA, or VA.

The Guarantor shall give notice to the Administrative Agent promptly [***] after receipt of notice or knowledge by a Responsible Officer of (i) any default, notice of termination of servicing for cause or notice of any other matter materially and adversely affecting the Xxxxxx Xxx MSRs or (ii) any resignation of servicing, termination of servicing or notice of resignation of or termination of servicing, in each case, under the Xxxxxx Xxx Servicing Contract or other servicing contract regardless of whether such agreement or the rights thereunder constitute “Collateral”.

The Repo Seller shall give notice to the Buyer promptly upon receipt or notice or knowledge of any default, notice of termination of servicing for cause under any Servicing Contract or other Agency mortgage-related servicing agreement, or any resignation of servicing, termination of servicing or notice of resignation of or termination of servicing, regardless of whether such agreement or the rights thereunder constitute Purchased Assets hereunder.

PMC Seller shall give notice to the Buyers promptly upon (a) receipt or notice or knowledge of any default, notice of termination of servicing for cause under any Servicing Contract or other servicing agreement regardless of whether such agreement or the rights thereunder constitute Purchased Assets hereunder or (b) receipt or notice or knowledge of any resignation of servicing, termination of servicing or notice of resignation of or termination of servicing, under any Servicing Contract or other servicing agreement regardless of whether such agreement or the rights thereunder constitute Purchased Assets hereunder.

PMC FMSR Parent shall give notice to Administrative Agent and each Buyer promptly but not later than two (2) Business Days after receipt of notice or knowledge by a Responsible Officer of (i) any material default, notice of termination of servicing for cause or notice of any other matter materially and adversely affecting the Purchased Assets under the Xxxxxx Xxx Lender Contract or (ii) any resignation of servicing, termination of servicing or notice of resignation of or termination of servicing, under the Xxxxxx Xxx Lender Contract, outside the ordinary course of business.
