Applicable Approvals. The Concessionaire shall obtain and maintain the Applicable Approvals in such sequence as is consistent with the requirements of the Project. The Concessionaire shall be responsible and shall be in compliance with the terms and conditions subject to which Applicable Approvals have been issued.
Applicable Approvals. Each party shall, if applicable, give any notices to, make any filings or submissions with, and use its commercially reasonable efforts to obtain at the earliest practical date any authorizations, consents or approvals of, and/or expiration of applicable waiting periods imposed by, any Governmental Authorities which are necessary to consummate the transactions contemplated hereunder. Each party shall furnish to the other parties such necessary information and reasonable assistance and cooperation as such other parties may request in connection with the foregoing. The parties shall use commercially reasonable efforts to comply as promptly as practicable with any requests made for any additional information in connection with such filings or actions. The parties shall keep each other apprised of the status of any communications with, and any inquiries or requests for additional information from, any Governmental Authority and use commercially reasonable efforts to comply promptly with any such inquiry or request.
Applicable Approvals. Supplier will be responsible for obtaining the certifications and approvals specified in the Product Specification set forth in Attachment A to this Agreement. Supplier will submit to sufficient proof of the approvals and will affix on the appropriate area of each Product a label stating such approvals if required. Applicable Approvals. Corporation shall apply and procure all Applicable Approvals in respect of the construction, commissioning and operation of the Project Facilities provided however, any Applicable Approval that is to be obtained/granted by the First Party as per Schedule VIII, shall be obtained and/or granted by First Party upon the application for the same being made in accordance with applicable law by Corporation and First Party shall also provide such reasonable support and assistance that Corporation may require for obtaining any such approvals.
Applicable Approvals a) First Party, shall facilitate Corporation in procuring all Applicable Approvals (refer Schedule VIII) and provide all co-ordination with various State and other concerned authorities and agencies and all other assistance and facilities (including for supply of utilities like water and electricity required during construction and maintenance of the Plant) as envisaged herein, free of any cost (except as otherwise expressly provided herein) as required and needed for the implementation of the Project and for the purposes of this Agreement. First Party shall, without prejudice to the generality of the foregoing, extend all required assistance to Corporation in gutting permission from any agencies/authorities to establish and maintain water and electricity and line as also distribution lines for RDF generated power and steam, on and through their land;
b) without prejudice to the generality of clause 13.2 (a) above, First Party shall:
i. recommend and forward to the relevant authority /ministry /Department, any application of Corporation to obtain any Applicable Approval;
ii. co-ordinate the grant of the Applicable Approval with the relevant authority/ministry/department and assist Corporation in getting necessary clearances from the relevant authorities / ministry /departments, ensure that the building plans for the Project Facilities at Site are duly and expeditiously approved by the concerned authorities of First Party (if applicable) under the Act / building by-laws / other relevant by-laws or regulations;
iii. will engage, at the same time as these presences, in the full execution of the Land Lease Agreement (attached as Schedule V), Supply of Treated Sewage/Effluent (STP) Agreement (attached as Schedule VI) and the Power Purchase Agreement (PPA) (separate referenced Agreement).
Applicable Approvals. (a) Grantor ULB shall, at the request of Concessionaire, facilitate Concessionaire in procuring the necessary Applicable Approvals and facilitate the co-ordination with various state and other concerned authorities and agencies and all other assistance and facilities.
(b) Without prejudice to the generality of Clause 21.1(a) above, Grantor ULB shall:
(i) recommend and forward to the relevant authority/ministry/department, any application of Concessionaire to obtain any Applicable Approval; and
(ii) co-ordinate the grant of the Applicable Approval with the relevant authority/ministry/department and assist Concessionaire in getting necessary clearances from the relevant authorities / ministry/departments.
Applicable Approvals. Concessionaire shall, apply and procure all Applicable Approvals in respect of the construction, commissioning and operation of the Regional MSW Facility provided however, any Applicable Approvals that is to be provided by the State Govt. shall be granted by State Govt. upon the application for the same being made in accordance with applicable law by Concessionaire provided further that in the event State Govt. and the Participating ULBs fails to perform its obligation of providing the support to Concessionaire for obtaining the Applicable Approvals, then the failure to obtain the relevant Applicable Approvals by Concessionaire shall not be an Concessionaire‟s Event of Default under this Agreement.
Applicable Approvals. (a) State Govt. shall, at the request of Concessionaire, facilitate Concessionaire in procuring the necessary Applicable Approvals and facilitate the co-ordination with various state and other concerned authorities and agencies and all other assistance and facilities.
(b) Without prejudice to the generality of Clause 22.1(a) above, State Govt. shall:
(i) recommend and forward to the relevant authority/ministry/department, any application of Concessionaire to obtain any Applicable Approval; and
(ii) co-ordinate the grant of the Applicable Approval with the relevant authority/ministry/department and assist Concessionaire in getting necessary clearances from the relevant authorities / ministry/departments.
Applicable Approvals. Concessionaire shall be responsible for obtaining the Applicable Approvals required for designing, financing, construction, operating and maintaining the Project and retain and renew all such Applicable Approvals in order to carry out its obligations under this Agreement in general and this Article 5 in particular. The Concessionaire shall supply to the SDMC, promptly, with copies of each application that it submits, and copies of each Applicable Approval so obtained. For the avoidance of doubt, it is clarified that the Concessionaire shall also be responsible for maintaining and renewing the Applicable Approvals and for fulfilling all conditions specified therein.
Applicable Approvals. (a) SDMC, shall, at the request of Concessionaire, facilitate Concessionaire in procuring all Applicable Approvals and to provide/facilitate all co-ordination with various authorities and agencies of Government of NCT of Delhi and all other assistance and facilities (including for supply of utilities like water and electricity required during construction and maintenance of the plant) as envisaged herein, extend all required assistance to Concessionaire in getting permission of all agencies/authorities.
(b) Without prejudice to the generality of Clause 11.2(a) above, SDMC shall:
(i) facilitate the Concessionaire in procuring the construction, commissioning and start up power at the Project as requisitioned by the Concessionaire;
(ii) upon the written request from the Concessionaire, and subject to the Concessionaire complying with the Applicable Laws, provide reasonable support and assistance to the Concessionaire in procuring the Applicable Approvals, required from any Governmental Instrumentality for implementation and operation of the Project;
(iii) not do or omit to do any act, deed or thing which may in any manner be voilative of any of the provisions of this Agreement;
(iv) procure adequate agreement for supply of water required for the operation of the Plant from Delhi Jal Board (DJB);
(v) support, cooperate with and facilitate the Concessionaire in the implementation and operation of the Project in accordance with the provisions of this Agreement and Applicable Laws, and
(vi) fulfil all other obligations to be undertaken by the SDMC under this Agreement.
