Termination Subsequent to the First Anniversary of the Effective Date. If Executive’s employment by the Company terminates subsequent to the first anniversary of the Effective Date for any reason other than as a result of a termination by the Company for Cause, a voluntary resignation by Executive without Good Reason or the expiration of the Employment Term, then the Company shall pay Executive (i) a lump sum severance payment in cash equal to twelve (12) months of Executive’s Base Salary at the time of such termination (“Full Cash Severance Payment”), and (ii) the Pro-Rata Bonus; provided that if employment terminates by reason of Executive’s death or disability, then Executive (or Executive’s estate, if applicable) shall solely be entitled to receive the Full Cash Severance Payment under this Section 6(a)(ii). The Full Cash Severance Payment shall be paid within 75 days following the Termination Date; provided that, if the Release Execution Period begins in one taxable year and ends in another taxable year, payment shall not be made until the beginning of the second taxable year. The Pro-Rata Bonus amount shall be paid on the date that annual bonuses are paid to similarly situated executives, but in no event later than two-and-a-half (2 1/2) months following the end of the calendar year in which the Termination Date occurs.
