Termination Without Breach. Notwithstanding Section 20.1: 20.2.1 the Federation may terminate this Agreement in respect of one or more Desjardins Payment Services at any time upon giving sixty (60) days’ prior written notice to the Merchant; and 20.2.2 the Merchant may terminate this Agreement at any time with respect to one or more Desjardins Payment Services, subject to Sections 3.1 and 6.1.1, upon payment to the Federation of a termination fee equal to three hundred dollars ($300). This fee is payable on the date of termination;
