1. For the purpose of the calculation of the Bonus, the price of the Products shall be determined in the amount of the final purchase price for which the Partner actually purchased the Products from the Distributors (plus any potential discounts, bonuses, etc.), minus the Distributor’s business margin and the statutory VAT (the Selling Price).
1. Pro účely výpočtu Bonusu bude cena Výrobků stanovena ve výši konečné kupní ceny, za kterou Partner Výrobky od Distributorů skutečně nakoupil (po započtení všech případných slev, bonusů apod.), po odečtení obchodní přirážky Distributora a zákonné sazby DPH (Prodejní cena).
2. The period stipulated in the Minutes shall be the decisive period for the calculation of the Bonus (the Decisive Period). 2. Rozhodným obdobím pro výpočet Bonusu je období uvedené v Zápise (Rozhodné období).
3. The Company shall provide the Partner with the Bonus if the sum of the Selling Prices of the Products purchased by the Partner from the Distributors through the stipulated withdrawal sites (the Value of Products) during any Decisive Period exceeds or equals the amount stipulated for the Products (or part thereof) in the relevant table included in the Minutes (the Limit) unless this Agreement stipulates otherwise; 3. Společnost poskytne Partnerovi Bonus v případě, že součet Prodejních cen Výrobků nakoupených Partnerem od Distributorů prostřednictvím stanovených odběrných míst (Hodnota Výrobků) v průběhu jakéhokoliv Rozhodného období překročí nebo se bude rovnat částce stanovené pro Výrobky (nebo jejich část) v příslušné tabulce uvedené v Zápise (Limit), není-li v této Smlouvě stanoveno jinak. the Bonus shall be provided in the amount stipulated in the Minutes. 4. The obligation to pay the Bonus arises by attaining the required total volume of the Products purchased during the Decisive Period. The Value of the Products for the purposes of calculation of the Bonus shall include solely the completed purchases of Products; completed purchase of Products means that during the Decisive Period, Products are actually physically delivered to the Partner by the Distributor. 4. Závazek vyplatit Bonus xxxxxx xx xxxxxxxxx xxxxxxxxxxxx xxxxxxxxx objemu nakoupených Výrobků za Rozhodné období. Do Hodnoty Výrobků pro účely výpočtu Bonusu budou zahrnuty pouze dokončené nákupy Výrobků, kterými se rozumí to, že v průběhu Rozhodného období jsou Výrobky skutečně fyzicky dodány od Distributorů ...

1. For the purposes of the calculation of the Bonus, the price of the Products shall be determined in the amount actually paid by the Hospital during any Decisive Period for the purchase of the Products after deduction of the applicable VAT rate. The Decisive Period means 1 (one) calendar quarter. 1. Pro účely výpočtu Bonusu bude cena Výrobků stanovena ve výši, za kterou Nemocnice Výrobky skutečně v průběhu jakéhokoliv Rozhodného období nakoupila, po odečtení zákonné sazby DPH. Rozhodným obdobím se rozumí 1 (jedno) kalendářní čtvrtletí.
2. Aspen shall provide the Hospital with the Bonus if the total volume of the Products specified in Annex 1 hereto purchased by the Hospital exceeds or equals the amount stipulated in Annex 2 hereto during any Decisive Period unless this Agreement stipulates otherwise; 2. Aspen poskytne Nemocnici Bonus v případě, že celkový objem nákupu Výrobků uvedených v Příloze č. 1 této Smlouvy nakoupených Nemocnicí v průběhu jakéhokoliv Rozhodného období překročí nebo se bude rovnat částce stanovené v Příloze č. 2 této smlouvy, a to ve the Bonus shall be provided in the amount stipulated in the Annex. Aspen´s obligation the pay the Bonus to the Hospital arises only in connection with the purchase of the Products, which means that the Products are actually physically delivered to the Hospital during the Decisive Period and accepted by the Hospital. 3. Závazek Aspenu vyplatit Nemocnici Bonus vzniká pouze za nákup Výrobků, kterým se rozumí to, že v průběhu Rozhodného období jsou Výrobky skutečně fyzicky dodány Nemocnici a jí převzaty.
4. The Hospital is not entitled to the Bonus or part thereof if, for any reason, the purchase of the Products or part thereof is not completed (e.g. cancelled purchase orders), or if the purchase of the Products or part thereof is subsequently cancelled, or if the Products or part thereof are returned for any reason, except for justified claims of defects of the Products where the replacement Products are delivered simultaneously. In such cases, the purchase of these Products shall not be included into the calculation of the Bonus.

Rozhodným obdobím se rozumí 1 (jedno) kalendářní čtvrtletí.

Aspen shall provide the Hospitals with the Bonus if the total volume of the Products specified in Annex 1 hereto purchased by the all the Hospitals exceeds or equals the amount stipulated in Annex 2 hereto during any Decisive Period unless this Agreement stipulates otherwise; the Bonus shall be provided in the amount stipulated in the Annex. The obligation to pay the Bonus shall arise by attaining or exceeding the required total Value of Purchase for the Decisive Period.
