As used in this Agreement, the vote, approval, or consent of, and the exercise of discretion by, the Members shall be obtained, received or conducted in the manner specified in Section 3.4, and the vote, approval, or consent of, and the exercise of discretion by, the Manager shall be obtained, received or conducted in the manner specified in Section 2.1.
