Common use of Territorial Responsibility Clause in Contracts

Territorial Responsibility. Distributor shall pursue appropriate sales policies and procedures to realize the maximum sales potential for the Products in the Territory. Subject to applicable laws or regulations, Distributor shall promote and sell the Products to customers only for use or consumption within the Territory, and Distributor agrees not to solicit orders outside the Territory without the prior written approval of INFRAREDX.

Territorial Responsibility. Distributor shall will pursue appropriate aggressive sales policies and procedures to realize the maximum sales potential for the Products in the Territory. Subject to applicable laws or regulations, Distributor shall promote and sell will maintain sufficient inventory of the Products to customers only provide competitive delivery schedules to its customers. The Distributor is responsible for use or consumption within the Territory, and Distributor agrees all Marketing expenditures including but not limited to solicit orders outside the Territory without the prior written approval of INFRAREDX.a minimum marketing budget that will be detailed in Addendum A.

Subject to applicable laws or regulations, Distributor shall not advertise, market or promote and sell the Products to customers only for use Product outside the Territory or consumption within the Territory, and Distributor agrees not to solicit orders establish a repair or maintenance facility outside the Territory without the prior written approval consent of INFRAREDXManufacturer.

Distributor shall pursue appropriate use its commercially reasonable efforts to implement sales policies and procedures to realize the maximum sales potential for the Products in the Territory. Subject to applicable laws or regulations, Distributor shall promote and sell the Products to customers only for use or consumption within the Territory, and Distributor agrees not to solicit orders outside the Territory without the prior written approval of INFRAREDXBIOSHAFT.

Territorial Responsibility. Distributor shall use its best efforts -------------------------- and pursue appropriate aggressive sales policies and procedures in order to realize the maximum sales potential for the Products in the Territory. Subject to applicable laws or regulations, Distributor shall promote and sell not direct any advertisement or marketing or promotional efforts with respect to the Products to customers only for use outside the Territory or consumption within the Territoryestablish a Product repair, and Distributor agrees not to solicit orders maintenance or storage facility outside the Territory without the prior written approval consent of INFRAREDXEyeSys.

Territorial Responsibility. (a) Distributor shall pursue appropriate diligent sales policies and procedures to realize the maximum sales potential for the Products in the Territory. Subject Distributor’s promotion shall include but not be limited to applicable laws or regulationspreparing promotional materials in appropriate languages for the Territory, Distributor shall promote and sell advertising the Products to customers only for use or consumption in trade publications within the Territory, participating in appropriate trade shows, and directly soliciting orders from customers for the Products. Distributor agrees not to solicit orders outside the Territory without the prior written approval of INFRAREDXshall provide Audience with detailed quarterly reports specifying Distributor’s activities under this Agreement.

Subject to applicable laws or regulations, The Distributor shall promote and sell not advertise, solicit or make any sales of the Products to customers only for use or consumption within outside the Territory, and nor to any reseller, distributor or other third party located in the Territory who Distributor agrees not knows or has reason to solicit orders suspect will export or otherwise distribute Products outside the Territory without the prior written approval of INFRAREDXTerritory.
