THE COMPANIES' ASSETS. Each of the TII Parties represents and warrants to Xxxxx and Xxxxxxx and to the Companies that the assets listed in Exhibit G are a true and complete list of all of the property, perquisites and other assets and benefits of the Companies in the possession or control of each of them or which either of them enjoy or may utilize or to which either of them have access, as of the date of this Agreement (collectively, the "Assets"). As promptly as possible but in no event later than 2 business days after the execution of this Agreement, each of the TII Parties shall return to the Companies, or relinquish to the Companies the control of, all of the Companies' Assets identified in Exhibit G, by physically delivering the Assets, where possible (such as, for example, files, lists, trade secret and other Confidential Information (as defined below) of the Companies, equipment automobiles, manuals, marketing and program materials) and/or by physically delivering the means to access, use or control Assets (such as, for example, membership cards, access cards, checks and other financial instruments, credit and debit cards, keys, maps, directions, access codes and signature cards) to the Companies at their headquarters at 0000 Xxx Xxxx, Xxxxxxx Xxxxx, XX 00000. The TII Parties shall cooperate fully in the return of the Assets to the Companies, including but not limited to, any changes in title or registration or removal of their names from access or use of Assets.

THE COMPANIES' ASSETS. 4.1 The Companies have legal title to all assets referred to in the Accounts as being the property of the Companies, and such legal title is unrestricted and includes full right of disposition and such assets are free of any liens or other encumbrance except as disclosed in the Disclosure Letter.

  • Merger, Consolidation, Acquisition and Sale of Assets (a) Enter into any merger, consolidation or other reorganization with or into any other Person or acquire all or a substantial portion of the assets or stock of any Person or permit any other Person to consolidate with or merge with it.

  • Transactions at Closing At the Closing, the following transactions shall occur, which transactions shall be deemed to take place simultaneously and no transaction shall be deemed to have been completed or any document delivered until all such transactions have been completed and all required documents delivered:

  • Corporate Documents; Proceedings (a) On the Initial Borrowing Date, the Administrative Agent shall have received from each Credit Party a certificate, dated the Initial Borrowing Date, signed by an Authorized Officer of such Credit Party, and attested to by the secretary or any assistant secretary of such Credit Party, in the form of Exhibit F with appropriate insertions, together with copies of the certificate of incorporation, by-laws or equivalent organizational documents of such Credit Party and the resolutions of such Credit Party referred to in such certificate and all of the foregoing (including each such certificate of incorporation, by-laws or other organizational document) shall be reasonably satisfactory to the Administrative Agent.

  • Consolidations, Mergers and Sales of Assets No Loan Party will, nor will it permit any Subsidiary of a Loan Party to, consolidate or merge with or into, or sell, lease or otherwise transfer all or any substantial part of its assets to, any other Person, or discontinue or eliminate any business line or segment, provided that (a) a Loan Party may merge with another Person if (i) such Person was organized under the laws of the United States of America or one of its states, (ii) the Loan Party is the corporation surviving such merger, (iii) immediately after giving effect to such merger, no Default shall have occurred and be continuing, and (iv) if the Borrower merges with another Loan Party, the Borrower is the corporation surviving such merger, (b) Subsidiaries of a Loan Party (excluding Loan Parties) may merge with one another, (c) a Loan Party (other than the Borrower or an Eligible Guarantor) may transfer all or any part of its assets to another Loan Party, (d) a Loan Party may sell Inventory in the ordinary course of business and for fair value, and (e) the foregoing limitation on the sale, lease or other transfer of assets and on the discontinuation or elimination of a business line or segment shall not prohibit, during any Fiscal Quarter, a transfer of assets or the discontinuance or elimination of a business line or segment (in a single transaction or in a series of related transactions) unless the aggregate assets to be so transferred or utilized in a business line or segment to be so discontinued, when combined with all other assets transferred (excluding assets transferred under Sections 5.17(d)), and all other assets utilized in all other business lines or segments discontinued, during such Fiscal Quarter and the immediately preceding three Fiscal Quarters have a fair market value or book value whichever is greater (determined with respect to each such asset transferred or discontinued) of more than $20,000,000.

  • Merger, Consolidation and Sale of Assets Not Liquidation For purposes of this Section 4, the merger or consolidation of the Corporation with any other corporation or other entity, including a merger or consolidation in which the holders of Designated Preferred Stock receive cash, securities or other property for their shares, or the sale, lease or exchange (for cash, securities or other property) of all or substantially all of the assets of the Corporation, shall not constitute a liquidation, dissolution or winding up of the Corporation.
