Common use of The Customer Clause in Contracts

The Customer. (a) warrants that the receipt and use in the performance of this Agreement by the Supplier, its agents, subcontractors or consultants of the Customer Data and/or Customer Materials shall not infringe the rights, including any Intellectual Property Rights, of any third party; and (b) shall indemnify the Supplier against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other professional costs and expenses) suffered or incurred or paid by the Supplier arising out of or in connection with any claim brought against the Supplier, its agents, subcontractors or consultants for actual or alleged infringement of a third party’s rights, including without limitation their Intellectual Property Rights arising out of, or in connection with, the receipt or use of the Customer Data and/or Customer Materials.
