The discretion of the Remuneration Committee. As soon as practicable after the date of the court’s direction the Remuneration Committee will confirm the minimum extent to which an Option which is subject to a performance target will be exercisable under Rule 7.7, to the extent that the performance target has been met up to the date the scheme of arrangement is sanctioned by the court. Subject to this, the Remuneration Committee may decide to take such other factors into account as it believes to be relevant in determining the extent to which the Option may be exercised beyond the extent to which the performance target has been met.
