The discretion of the Remuneration Committee. As soon as practicable after a general offer has been made the Remuneration Committee will confirm the minimum extent to which an Option which is subject to a performance target will become exercisable under Rule 7.1, to the extent that the performance target has been met up to the change of Control taking effect. Subject to this, the Remuneration Committee may (acting fairly and reasonably) decide to take such other objective factors into account which it believes to be relevant in determining the extent to which the Option may be exercised beyond the extent to which the performance target has been met.
