the Grant Recipient. 1.5.1 is a Registered Provider; 1.5.2 has not had any application to be an Investment Partner rejected; 1.5.3 is incorporated under the laws of England or Wales and registered as a Registered Society; 1.5.4 has power to own its assets and carry on its business as currently being conducted from time to time; and 1.5.5 has power to enter into the Transaction Documents and to exercise its rights and perform its obligations there under.
