Operational Obligations. 9.1 In delivering the Named Project and in operating and administering the Named Project after Practical Completion, the Grant Recipient must observe and comply with Legislation, the applicable terms of the Affordable Housing Capital Funding Guide, the Recovery Determination and the Consents. 9.2 The Grant Recipient shall procure that the GLA's Representative (or any person nominated by him) shall have at all reasonable times and upon giving reasonable notice the right to enter onto the Site and to take such action as he considers appropriate to inspect the progress of the Named Project and to monitor compliance by the Grant Recipient with its obligations under this Agreement. 9.3 The Grant Recipient must notify the GLA in writing (save in respect of Condition 9.3.1 where notification is required to be given through OPS): 9.3.1 immediately once Start on Site and Practical Completion has occurred with respect to each Named Project; 9.3.2 immediately upon becoming aware of any event or circumstance which may have a Material Adverse Effect; and 9.3.3 of any other event or circumstance in relation the Named Project as the GLA may reasonably require from time to time and within such timeframes as the GLA may reasonably require. 9.4 Without prejudice to Condition 9.1, the Grant Recipient must in operating and administering the Named Project after Practical Completion: 9.4.1 not use the AHP Dwellings for any purpose other than the Agreed Purposes without the GLA's prior written consent; 9.4.2 subject to any contrary requirement of Legislation comply with the Rent Guidance in respect of the AHP Dwellings where applicable; 9.4.3 comply with the Tenancy Standard in respect of the AHP Dwellings where applicable; and 9.4.4 comply at its own cost with the GLA's requirements in relation to Compliance Audit. 9.5 In discharging its obligations under this Agreement, the Grant Recipient must act at all times with the utmost good faith, with the intent to deliver the Ring Fence Offer and with proper regard to the need for efficiency in the use of public funds. 9.6 The Grant Recipient must comply with all applicable laws, statutes, regulations and codes relating to anti-bribery and anti-corruption including but not limited to the Xxxxxxx Xxx 0000 and comply with the GLA's anti-fraud and corruption policies, a copy of which is available here: xxxxx://xxx.xxxxxx.xxx.xx/about-us/governance-and-spending/good- governance/our-procedures, in each case as the GLA or the relevant indu...

Operational Obligations. Con Edison and NYISO shall cause the New York State Transmission System and the Attachment Facilities to be operated, maintained and controlled in a safe and reliable manner in accordance with this Agreement and the NYISO Tariffs. NYISO and Con Edison may provide operating instructions to Con Edison consistent with this Agreement, NYISO procedures and Con Edison’s operating protocols and procedures as they may change from time to time. NYISO will consider changes to their respective operating protocols and procedures proposed by Con Edison.

Operational Obligations. ‌ 15.1 In Delivering the Capital Firm Scheme and in operating and administering the Capital Firm Scheme after Practical Completion, the Relevant Consortium Member must observe and comply with Legislation, the applicable terms of the Capital Funding Guide and the Recovery Determination (to the extent applicable) and the Consents.‌ 15.2 The Relevant Consortium Member shall procure that Homes England's Representative (or any person nominated by them) shall have at all reasonable times and upon giving reasonable notice the right to enter onto the Site and to take such action as he considers appropriate to inspect the progress of the Capital Firm Scheme and to monitor compliance by the Relevant Consortium Member with its obligations under this Agreement. 15.3 The Relevant Consortium Member must agree in advance with Homes England any significant changes to the Approved Capital Bid or the Approved Revenue Bid or to any of the outputs, activities, targets and/or indicative dates as set out in the Approved Capital Bid or the Approved Revenue Bid.‌ 15.4 The Relevant Consortium Member shall provide such evidence as Homes England may reasonably require to enable Homes England to satisfy itself: 15.4.1 with the progress against the Approved Capital Bid and the Approved Revenue Bid (if any) including, without limitation, progress against the delivery Milestones agreed in relation to such Approved Capital Bid or Approved Revenue Bid (as applicable); and 15.4.2 that the Relevant Consortium Member's compliance with the terms and conditions of this Agreement.

Operational Obligations. TTL shall or shall procure that a member of the TfL Group shall: (a) operate, or procure that the Scheme Operator operates, the London Cycle Hire Scheme, in a form with, as a minimum (subject to normal operational and maintenance activity), materially the same scale and geographical coverage as at the Effective Date, throughout the Term except in the following circumstances: (i) shutdowns for maintenance or other operational reasons; (ii) closure due to the risk or effects of any Force Majeure Event, which closure shall be only for so long as TTL or the relevant member of the TfL Group cannot operate the London Cycle Hire Scheme (or cannot safely operate the London Cycle Hire Scheme in accordance with all Applicable Laws) due to such Force Majeure Event; (iii) closure required for the purpose of activating any of the Core Rights; (iv) closure required in connection with the transition of the London Cycle Hire Scheme to a new Scheme Operator; (b) ensure that the London Cycle Hire Scheme complies with all Applicable Laws; (c) procure that the Scheme Operator maintains to a reasonable standard the materials containing the Cycle Hire Roundel, Composite Logo or Sponsor Artwork (as applicable) which are affixed to Bicycles, Maintenance Vehicles, Maintenance Staff High Visibility Vests and Street Furniture (as applicable). In the event that the circumstances set out in clauses 6.2(a)(i), (ii), (iii) or (iv) apply, TTL shall: (d) notify the Sponsor of the relevant shutdown or closure (where such shutdown or closure affects all or a significant part of the London Cycle Hire Scheme); (e) keep the Sponsor reasonably informed as to the progress of efforts to re-open the London Cycle Hire Scheme (where such shutdown or closure affects all or a significant part of the London Cycle Hire Scheme); (f) in any event, use reasonable endeavours to: (i) minimise the duration of any shutdown or closure; and (ii) consider whether it is practicable to close or shutdown individual docking stations, take part only of the fleet of Bicycles out of service or otherwise handle the relevant issue in a way which avoids the closure or shutdown of all or a significant part of the London Cycle Hire Scheme.
Operational Obligations. The Transmission Provider may require the generator to be equipped for Automatic Generation Control (AGC). The Transmission Customer will be responsible for all costs associated with installing and maintaining an AGC system on the generator(s). NEPOOL Open Access Transmission Tariff Original Sheet No. 259 The Transmission Provider retains the right to require reduced generation at times when system conditions present transmission restrictions or otherwise adversely affect the Transmission Provider's other customers. The Transmission Provider will use due diligence to resolve the problems to allow the generator to return to the operating level prior to the Transmission Provider's notice to reduce generation. All operations (including start-up, shutdown and determination of hourly generation) will be coordinated by the Transmission Provider.

Operational Obligations. The Transmission Customer shall request permission from the system operators prior to opening and/or closing circuit breakers per applicable switching and operating procedures. The Transmission Customer shall carry out all switching orders from the Transmission Provider, the System Operator or the Transmission Provider's designee in a timely manner. The Transmission Customer shall balance the load at the Point(s) of Delivery such that the difference in the individual phase currents are acceptable to the Transmission Provider. The Transmission Customer's equipment shall conform with harmonic distortion and voltage fluctuation standards of the Transmission Provider. The Transmission Customer's equipment must comply with all environmental requirements to the extent they impact the operation of the Transmission Provider's system. The Transmission Customer shall operate all of its equipment and facilities connected to the Transmission Provider's system in a safe and efficient manner and in accordance with manufacturers' recommendations, Good Utility Practice, applicable regulations, and requirements of the Transmission Provider, the System Operator, and NPCC.
Operational Obligations. ‌ 14.1 The Grant Recipient shall procure that Homes England's Representative (or any person nominated by them) shall have at all reasonable times and upon giving reasonable notice the right to enter onto the Site and to take such action as he considers appropriate to inspect the operation of a Capital Firm Scheme, the provision of the Revenue Funding Support Services and to monitor compliance by the Grant Recipient with its obligations under this Agreement. 14.2 The Grant Recipient must agree in advance with Homes England any significant changes to the Approved Capital Bid, the First Revenue Funding Schemes or to any of the outputs, activities, targets and/or indicative dates as set out in the Approved Capital Bid or the Revenue Funding Scheme Details in respect of the First Revenue Funding Schemes. 14.3 The Grant Recipient shall provide such evidence as Homes England may reasonably require to enable Homes England to satisfy itself: 14.3.1 with the progress against the Approved Capital Bid and the Revenue Funding Schemes (including, without limitation, progress against the delivery Milestones agreed in relation to such Approved Capital Bid; and 14.3.2 that the Grant Recipient is complying with the terms and conditions of this Agreement.
Operational Obligations. At all times during the Term, the Merchant will: (a) ensure that the Website and Business Systems, and the manner in which the Software and the POLi™ Service are accessed from the Website, comply with the Documentation, and are operated in accordance with reasonable security procedures (including any security procedure contained in the Documentation) to prevent unauthorised access to information, data, the Software or the POLi™ Service; (b) only use the Software and POLi™ Service to initiate and process Transactions, in accordance with the Documentation and this Agreement; (c) acquire and maintain all equipment, services and software (other than software provided by POLi Payments), and its own banking facilities, as are necessary for the Customers to access and use the POLi™ Service from the Website; (d) ensure that it has sufficient properly trained personnel, who are familiar with the Merchant's obligations under this Agreement and the Website and Business Systems, to maintain the Website and Business Systems and manage Support inquiries; (e) keep confidential and safeguard from unauthorised use: (i) any user names and passwords required to access any facility forming part of, or made available while using the POLi™ Service; and (ii) any information that POLi Payments makes available to the Merchant about a Transaction for the purposes of the Merchant providing a refund to the holder of the banking account from which the Transaction was initiated; (f) provide POLi Payments and its service providers and / or contractors with reasonable assistance and facilities (including a means of accessing the Business Systems in accordance with agreed protocols, and liaison with the necessary Merchant personnel) in order to permit POLi Payments and its service providers and / or contractors to provide the Implementation Services and Support; (g) provide support to its own Customers in relation to the operation and their use of the POLi™ Service (including if POLi Payments requires it, the publication on the Website of a “Frequently Asked Questions” page prepared by POLi Payments, or a link to such a page published by POLi Payments); (h) provide POLi Payments, its service providers or contractors and any NPP Participants with such information and assistance as such parties may reasonably require in respect of Transactions (including failed or attempted Transactions, Disputed Transactions) and transactions which relate to Mistaken Payment, Misdirected Payment or such ot...
