Common use of The Grantor Clause in Contracts

The Grantor. 12.5.1 shall notify the Operator as soon as may reasonably be practicable on becoming aware of any liabilities and shall use reasonable endeavours to mitigate the liabilities for which it seeks indemnity; but 12.5.2 may not compromise or settle any of the liabilities, unless required under an order of court, without the consent of the Operator, and shall permit the Operator to defend the claims in the name of the Grantor at the expense of the Operator.
