Common use of The Merchant Clause in Contracts

The Merchant. represents and warrants to and for the benefit of the Bank that all information, details and other matters provided by or on behalf of the Merchant to the Bank are true, accurate and complete as at the time of such provision, and the Merchant shall ensure that such information, details and other matters remain true, accurate and complete throughout the Term. If there are, or the Merchant becomes or ought to be aware of, any change to such information, details or matters, the Merchant shall forthwith notify the Bank in writing of such change. The Bank shall thereafter be entitled to take such steps as the Bank considers appropriate having regard to such change, and the Merchant shall do such things as may be necessary to facilitate and give effect to the Bank’s intentions.
