Common use of Third-Party Certifications and Audits Clause in Contracts

Third-Party Certifications and Audits. Upon Client’s written request at reasonable intervals, and subject to the confidentiality obligations set forth in the Agreement and this DPA, Firebolt shall make available to Client that is not a competitor of Firebolt (or Client’s independent, third-party auditor that is not a competitor of Firebolt) a copy or a summary of Firebolt’s then most recent third-party audits or certifications, as applicable (provided, however, that such audits, certifications and the results therefrom, including the documents reflecting the outcome of the audit and/or the certifications, shall only be used by Client to assess compliance with this DPA, and shall not be used for any other purpose or disclosed to any third party without Firebolt’s prior written approval and, upon Firebolt’s first request, Client shall return all records or documentation in Client’s possession or control provided by Firebolt in the context of the audit and/or the certification). At Client’s cost and expense, Firebolt shall allow for and contribute to audits, including inspections of Firebolt’s, conducted by the controller or another auditor mandated by the controller (who is not a direct or indirect competitor of Firebolt) provided that the parties shall agree on the scope, methodology, timing and conditions of such audits and inspections. Notwithstanding anything to the contrary, such audits and/or inspections shall not contain any information, including without limitation, personal data that does not belong to Client.

At ClientCustomer’s cost and expense, Firebolt Totango shall allow for and contribute to audits, including inspections of FireboltTotango’s, conducted by the controller or another auditor mandated by the controller (who is not a direct or indirect competitor of FireboltTotango) provided that the parties shall agree on the scope, methodology, timing and conditions of such audits and inspections. Notwithstanding anything to the contrary, such audits and/or inspections shall not contain any information, including without limitation, personal data that does not belong to ClientCustomer.

Notwithstanding anything to the contrary, such audits and/or inspections shall not contain any information, including without limitation, personal data that does not belong to Client.

At Client’s 's cost and expense, Firebolt Data Processor shall allow for and contribute to audits, including inspections of Firebolt’sStoreMaven's, conducted by the controller or another auditor mandated by the controller (who is not a direct or indirect competitor of FireboltStoreMaven) provided that the parties shall agree on the scope, methodology, timing and conditions of such audits and inspections. Upon Client’s written request at reasonable intervalsintervals (no more that once every 12 months), and subject to the confidentiality obligations set forth in the Agreement and this DPA, Firebolt Data Processor shall make available to Client that is not a competitor of Firebolt (or Client’s independent, third-party auditor that is not a competitor of, or is in conflict of Fireboltinterests with, Data Processor) a copy or a summary of FireboltData Processor’s then most recent third-party audits or certifications, as applicable (provided, however, that such audits, certifications and the results therefrom, including the documents reflecting the outcome of the audit and/or the certifications, shall only be used by Client to assess compliance with this DPADPA and/or with applicable Data Protection Laws and Regulations, and shall not be used for any other purpose or disclosed to any third party without FireboltData Processor’s prior written approval and, upon Firebolt’s Data Processor's first request, Client shall return all records or documentation in Client’s 's possession or control provided by Firebolt Data Processor in the context of the audit and/or the certification). At Client’s cost With respect to audits and expenseinspections, Firebolt shall allow for and contribute to audits, including inspections of Firebolt’s, conducted by the controller or another auditor mandated by the controller (who is not a direct or indirect competitor of Firebolt) provided that the parties shall discuss in good faith and agree on the scope, methodology, timing and conditions details of such the audits and inspections. Notwithstanding anything , provided however that the limitation set forth above with respect to the contrarycopies or audits certifications shall also apply to the audits. To the extent that Data Processor’s obligations in this section involve more than 8 hours/man of work, such audits and/or inspections Client shall not contain any information, including without limitation, personal data that does not belong to Clientbear the costs and expenses of complying with this clause.

At Client’s cost and expense, Firebolt Medigate shall allow for and contribute to audits, including inspections of FireboltMedigate’s, conducted by the controller or another auditor mandated by the controller (who is not a direct or indirect competitor of FireboltMedigate) provided that the parties shall agree on the scope, methodology, timing and conditions of such audits and inspections.
