Third Party Legal Proceedings. The Company will have complete authority and discretion to determine all matters related solely to claims appeals. Plan Sponsor shall be responsible for the defense of any legal action brought by a third party related to the Plan. Nothing herein shall require the Plan Sponsor to defend the Company in any action in which the Company is a named party. Nothing herein shall require the Company to defend the Plan Sponsor. The Company and the Plan Sponsor shall cooperate in defense of any legal proceeding. Each Party will furnish the other and its legal counsel with all pertinent information regarding the proceeding.
