TI Tenant Change Order Request. Tenant may request TI Changes after Tenant approves the Final TI Plans or the Approved TI Plans, as applicable, by notifying Landlord thereof in writing in substantially the same form as the AIA standard change order form (a “TI Tenant Change Order Request”), which TI Tenant Change Order Request shall detail the nature and extent of any requested TI Changes, including, without limitation, (a) the TI Change, (b) the party required to perform the TI Change, and (c) any modification of the Final TI Plans or the Approved TI Plans, as applicable, or the respective Schedule necessitated by the TI Change. If the nature of a TI Change requires revisions to the Final TI Plans or the Approved TI Plans, as applicable, then Tenant shall be solely responsible for the cost and expense of such revisions but may apply the TI Allowance to the same. Tenant shall deposit with Landlord the additional cost and expense payable by Landlord, as reasonably estimated by Landlord, to complete the Tenant Improvements due to a Tenant-requested TI Change within ten (10) days of receiving Landlord’s approval of such TI Change (the “TI Deposit”) if the TI Allowance is exhausted. In the event such deposit is not sufficient to cover the approved TI Change, Tenant shall reimburse Landlord the difference between the actual cost of such TI Change and the TI Deposit. Tenant shall have the right to apply the Additional Allowance towards the TI Deposit. TI Tenant Change Order Requests shall be signed by Tenant’s Authorized Representative.

Tenant shall deposit with reimburse Landlord the additional cost and expense payable by Landlord, as reasonably estimated by Landlord, to complete the Tenant Improvements due to a Tenant-requested TI Change within ten (10) days as “Excess Costs” in accordance with Section 4.2.2 of receiving Landlord’s approval of such TI Change (the “TI Deposit”) if the TI Allowance is exhausted. In the event such deposit is not sufficient to cover the approved TI Change, Tenant shall reimburse Landlord the difference between the actual cost of such TI Change and the TI Deposit. Tenant shall have the right to apply the Additional Allowance towards the TI Deposit. TI Tenant Change Order Requests shall be signed by Tenant’s Authorized RepresentativeLease.

Tenant may request TI Changes after Tenant approves to the Final TI Plans or the Approved Phase I TI Plans, as applicable, the Phase II TI Working Drawings or the Final Phase II TI Plans by notifying Landlord thereof in writing in substantially the same form as the AIA standard change order form (a “TI Tenant Change Order Request”), which TI Tenant Change Order Request shall detail the nature and extent of any requested TI Changes, including, without limitation, (a) the TI Change, and (b) the party required to perform the TI Change, and (c) any modification of the Final Phase I TI Plans Plans, the Phase II TI Working Drawings or the Approved Final Phase II TI Plans, as applicable, or the respective Schedule necessitated by the TI Change. If the nature of a TI Change requires revisions to the Final Phase I TI Plans Plans, the Phase II TI Working Drawings or the Approved Final Phase II TI Plans, as applicable, or would cause a delay in Substantial Completion of the Phase I Work or the Phase II Work, as applicable (in each case as set forth in the Landlord’s Construction Work Schedule), then Tenant shall be solely responsible for the cost and expense of such revisions but may apply the TI Allowance (except to the sameextent that such TI Change is required as the result of a Landlord-requested Base Building Change that has been approved by Tenant pursuant to Section 2.5(b)(ii) above, in which case such cost and expense shall be part of Landlord’s Turnkey Costs (as defined below)). In the event Landlord approves or is deemed to have approved of any such TI Change resulting from a TI Tenant Change Order Request in accordance with Section 3.6(a)(ii) below, Landlord shall: (1) notify Tenant if it reasonably believes such TI Change could cause a delay in Substantial Completion of the Phase I Work or the Phase II Work (in each case as set forth in the Landlord’s Construction Work Schedule); and (2) provide Landlord’s reasonable estimate of any additional costs and expenses associated with such TI Change. Tenant shall deposit with Landlord the additional cost and expense payable by LandlordXxxxxxxx, as reasonably estimated by LandlordXxxxxxxx, to complete the TI Tenant Improvements due to a Tenant-requested TI Change within ten (10) days of receiving Landlord’s approval of such TI Change Order Request (the “TI Deposit”) if the TI Allowance is exhaustedwithin thirty (30) days following Tenant receipt of Landlord’s written estimate. In the event such deposit TI Deposit is not sufficient to cover the actual cost of such approved TI Change, Tenant shall reimburse Landlord the difference between the actual cost of such TI Change and the TI DepositDeposit within thirty (30) days following Xxxxxx’s receipt of an invoice therefor, which invoice shall include reasonable back-up documentation with respect to the amount of such difference. In the event such TI Deposit exceeds the actual cost of such approved Base Building Change, Landlord shall return such excess amount to Tenant shall have within thirty (30) days following the right to apply the Additional Allowance towards the completion of such approved TI DepositChange. TI Tenant Change Order Requests shall be signed by TenantXxxxxx’s Authorized Representative.
