Common use of Time of Delivery Clause in Contracts

Time of Delivery. (a) Seller acknowledges that time is of the essence of this Purchase Order. Seller will provide prompt notice to TI of any delays in delivery. Failure to meet agreed upon delivery dates shall be considered a breach of contract and, in addition to any other rights available to it under this Purchase Order or at law or in equity, TI may cancel this Purchase Order without penalty if TI specified delivery dates will not be met. Seller agrees to reimburse to TI any penalty and damages imposed upon or incurred by TI to its customers or others by virtue of delays caused by Seller’s failure to deliver goods or work on such delivery dates. Late shipments may be rejected by XX and returned to Seller at Seller’s expense. (b) Unless otherwise agreed in writing, Seller shall not make commitments for material or production in excess of the amount or in advance of the time necessary to meet XX's delivery schedule. It is Xxxxxx's responsibility to comply with this schedule, but not to anticipate TI's requirements. Goods shipped to TI in advance of schedule may be returned to Seller at Seller's expense.
