Common use of Title and Maintenance Clause in Contracts

Title and Maintenance. During the Evaluation Period, Company grants to Saint Luke’s the right to use the Software, on a trial/evaluation basis, on the terms and conditions hereinafter set forth. Title to the Software shall be and remain in Company at all times. Xxxxx Xxxx’s agrees to take no action that it knows would adversely affect Company’s title to or interest in the Software. At all times, Saint Luke’s shall use the Software hereunder in a careful and proper manner, in accordance with applicable laws, and in accordance with all applicable Company written specifications and Software labeling, which Company shall provide to Saint Luke’s with the Software. Saint Luke’s shall not undertake any repairs or modifications to the Software; any repairs needed shall be the sole responsibility of Company. Saint Luke’s shall promptly notify Company of any defective or malfunctioning Software.

Title to the Software Equipment shall be and remain in Company at all times. Xxxxx XxxxSaint Luke’s agrees to take no action that it knows would adversely affect Company’s title to or interest in the SoftwareEquipment. At all times, Saint Luke’s shall use the Software Equipment hereunder in a careful and proper manner, in accordance with applicable laws, and in accordance with all applicable Company written specifications and Software labelingspecifications, which Company shall provide to Saint Luke’s with the SoftwareEquipment.
