Common use of Title and Position Clause in Contracts

Title and Position. During the Employment Term, Executive shall hold the positions of President and Chief Executive Officer of the Company and any of its subsidiaries, and shall report directly to the Board of Directors of the Company (the “Board”). For as long as Executive holds such positions, Executive shall hold a seat on the Board. Executive’s responsibilities shall include such duties as are commensurate with Executive’s positions and as may be assigned to Executive in good faith by the Board. Executive represents and warrants that Executive is free to accept employment with the Company, and that Executive has no existing commitments or obligations of any kind (including any restrictive covenant(s) for the benefit of any prior employer) that would hinder or interfere with Executive’s obligations hereunder.

For as long as Executive holds such positions, Executive shall hold a seat on the Board. Executive’s responsibilities shall include such duties as are commensurate with Executive’s positions and as may be assigned to Executive in good faith by the BoardCEO. Executive represents and warrants that Executive is free to accept employment with the Company, and that Executive has no existing commitments or obligations of any kind (including any restrictive covenant(s) for the benefit of any prior employer) that would hinder or interfere with Executive’s obligations hereunder.

Executive’s responsibilities shall include such duties as are commensurate with Executive’s positions position and as may be assigned to Executive in good faith by the Board. Executive represents and warrants that Executive is free to accept employment with the Company, and that Executive has no existing commitments or obligations of any kind (including any restrictive covenant(s) for the benefit of any prior employer) that would hinder or interfere with Executive’s obligations hereunder.
