Common use of Title and Responsibilities Clause in Contracts

Title and Responsibilities. Subject to terms set forth herein, the Company agrees to employ Executive in the position of President and Chief Operating Officer (collectively the "President") and Executive hereby accepts such employment effective as of July 1, 2002 (the "Employment Date"). During his continuing employment with the Company, Executive will devote his best efforts and substantially all of his business time and attention (except for vacation periods as set forth herein and reasonable periods of illness or other incapacities permitted by the Company's general employment policies) to the business of the Company.

Title and Responsibilities. Subject to the terms set forth herein, the Company agrees to continue to employ Executive in the position of President and Chief Operating Officer (collectively the "President") Officer, and Executive hereby accepts such employment pursuant to the terms and conditions of this Agreement, effective as of July June 1, 2002 2005 (the "Employment “Effective Date"”). During his continuing employment with the Company, Executive will devote his best efforts and substantially all of his business time time, skill and attention (except for vacation periods as set forth herein and reasonable periods of illness or other incapacities incapacity permitted by the Company's ’s general employment policies) to the business of the Company.

Title and Responsibilities. Subject to the terms set forth herein, the Company agrees to employ Executive Executive, commencing on January 5, 2004 (unless otherwise provided herein) (the “Effective Date”), in the position of Chairman of the Company’s Board of Directors (the “Board”), President and Chief Operating Officer (collectively the "President") Executive Officer, and Executive hereby accepts such employment effective as of July 1, 2002 (the "Employment Date")employment. During his continuing employment with the Company, Executive will devote his best efforts and substantially all of his business time and attention (except for vacation periods as set forth herein and reasonable periods of illness or other incapacities incapacity permitted by the Company's ’s general employment policies) to the business of the Company.

Title and Responsibilities. Subject to the terms set forth herein, the Company agrees to employ Executive in the position of Vice President and Chief Operating Officer (collectively the "President") Financial Officer, and Executive hereby accepts such employment effective as of July 12, 2002 2007 (the "Employment “Effective Date"”). During his continuing employment with the Company, Executive will report directly to the President and Chief Executive Officer (“CEO”) of the Company in this role, and shall devote his best efforts and substantially all of his business time time, skill and attention (except for vacation periods as set forth herein and reasonable periods of illness or other incapacities incapacity permitted by the Company's ’s general employment policiespolicies and authorized activities pursuant to Section 5.1 of this Agreement) to the business of the Company. Executive shall be the Chief Financial officer for the Company responsible for all duties corresponding to such a role.

During his continuing employment with the Company, Executive will report directly to the Board of Directors of the Company (the “Board”) in this role, and shall devote his best efforts and substantially all of his business time time, skill and attention (except for vacation periods as set forth herein and reasonable periods of illness or other incapacities incapacity permitted by the Company's ’s general employment policiespolicies and authorized activities pursuant to Section 5.1 of this Agreement) to the business of the Company.
