Titled Parties. Joint Lead Arrangers assume no responsibility or obligation hereunder, including, without limitation, for servicing, enforcement or collection of any of the Loans, or any duties as an agent hereunder for the Lenders. The title given to the Joint Lead Arranger is solely honorific and implies no fiduciary responsibility on the part of Joint Lead Arranger to Administrative Agent, any Lender, the Borrower or any other Borrower Party and the use of such titles does not impose on the Joint Lead Arrangers any duties or obligations greater than those of any other Lender or entitle the Joint Lead Arrangers to any rights other than those to which any other Lender is entitled.

  • Other Representatives None of the entities identified as joint bookrunners and joint lead arrangers pursuant to the definition of Other Representative contained herein, shall have any duties or responsibilities hereunder or under any other Loan Document in its capacity as such. Without limiting the foregoing, no Other Representative shall have nor be deemed to have a fiduciary relationship with any Lender. At any time that any Lender serving as an Other Representative shall have transferred to any other Person (other than any of its affiliates) all of its interests in the Loans and in the Commitments, such Lender shall be deemed to have concurrently resigned as such Other Representative.

  • Covered Persons As used in this section 6.2, the term “Covered Person” means (i) the Manager and its affiliates, (ii) the members, managers, officers, employees, and agents of the Manager and its affiliates, and (iii) the officers, employees, and agents of the Company, including a Representative, each acting within the scope of his, her, or its authority.
