Tokens Not Registered. The Subscriber understands the Tokens have not been registered under the Securities Act of 1933 (the “Securities Act”) in reliance on certain exemptions thereunder for transactions not involving any public offering or under the laws of any state, and the Tokens have not been approved or disapproved by the SEC or by any other federal or state agency of the U.S. or other jurisdiction, and no such agency has passed on the accuracy or adequacy of the Information Documents. The Subscriber understands that the Company is under no obligation to register the Tokens on the Subscriber’s behalf or to assist the Subscriber in complying with any exemption from registration under the Securities Act or under the securities laws of any state.
