Common use of Tort Claims Clause in Contracts

Tort Claims. Sellers shall Indemnify Buyer from and against any and all Claims that Buyer incurs by reason of any alleged injury or damage to the person or property of another based upon an event or condition occurring (or alleged to have occurred) at any Hotel prior to Closing. To the extent that Sellers pay any such claim, liability and related expenses under this Section 13.2(e), Sellers reserve the right to recover from Manager or any insurer therefor. Buyer shall Indemnify Sellers from and against any and all Claims that Sellers incur by reason of any alleged injury or damage to the person or property of another based upon an event or condition occurring (or alleged to have occurred) after Closing.
