The term “Total Shareholder Return” means, for the Company and each of the Peer Companies, the company’s total shareholder return, expressed as a percentage, which will be calculated by dividing (i) the Closing Average Share Value by (ii) the Opening Average Share Value and subtracting one from the quotient.

The term “Total Shareholder Return” means, for shall mean total shareholder return as applied to the Company and each or any company in the Peer Group, determined by comparing the average of the Peer Companies, the applicable company’s total shareholder returnclosing stock prices over the 20 trading days immediately preceding the first day of the Performance Period with the average of the applicable company’s closing stock prices over the last 20 trading days of the Performance Period, expressed including dividends (if any) when actually paid on Shares or peer company common stock, as applicable, on a percentage, which will be calculated by dividing (i) reinvested basis during the Closing Average Share Value by (ii) the Opening Average Share Value and subtracting one from the quotientapplicable period.
