Peer Group. For purposes of this Agreement, the Company’s peer group (the “Peer Group”) shall be comprised of three components: (a) the industry peer group companies set forth in Exhibit A to this Agreement; (b) companies in the S&P 500 Index; and (c) companies in the Xxxxxx Xxxxxxx XXXX Index; provided, that each of the foregoing Peer Group components shall be subject to equitable adjustment by the Committee in its sole discretion to the extent that one or more companies in any component grouping shall cease to maintain separate legal existence by reason of merger or legal dissolution or otherwise, or shall no longer be part of the applicable index. For purposes of determining values earned for Value Management Award Units granted hereby, the components of the Peer Group will be given the following weightings: industry group 25%; S&P group 50%; and REIT Index group 25%.

Peer Group. Each company in the Peer Group will then be ranked in descending order by the Total Return to Shareholders so calculated and the Corporation’s Total Return to Shareholders shall be ranked in relation thereto, using the method specified on Exhibit A. If a company within the Peer Group ceases to be publicly traded during the Performance Period, such company shall be excluded from the Peer Group for the entire Performance Period, except that if a company in the Peer Group is acquired by a company that is “diversified financials company”, as determined by reference to the GICS reporting code used for reporting to the Securities and Exchange Commission, then such company shall remain within the Peer Group.
Peer Group. For purposes of this Agreement, the “Peer Group” shall consist of the companies listed on the Term Sheet included herewith.
Peer Group. The Peer Group consists of the companies listed on Appendix B. If any member of the Peer Group ceases to be a public company during the Performance Period (whether by acquisition, merger, consolidation, liquidation or otherwise), such Member shall be treated as if it were not a member of the Peer Group for the Performance Period.

However, in the event that, prior to the end of the Performance Period, there occurs: (i) a merger, acquisition or business combination transaction of a Peer Group member with or by another Peer Group member, only the surviving entity shall remain a member of the Peer Group; (ii) a merger, acquisition or business combination of a Peer Group member with an entity that is not a Peer Group member, or the acquisition or business combination transaction by or with a Peer Group member, where such Peer Group member is the surviving entity and remains publicly traded, such Peer Group member shall remain a member of the Peer Group; (iii) a merger or acquisition or business combination transaction of a Peer Group member by or with an entity that is not a Peer Group member or a “going private” transaction involving a Peer Group member where such Peer Group member is not the surviving entity or is otherwise no longer publicly traded, such Peer Group member shall no longer be a member of the Peer Group; (iv) a stock distribution from a Peer Group member consisting of the shares of a new publicly traded company (a “spin-off”), such Peer Group member shall remain a member of the Peer Group, such distribution shall be treated as a dividend from such Peer Group member based on the closing price of the shares of the spun-off company on its first day of trading and the performance of the shares of the spun-off company shall not thereafter be tracked for purposes of calculating Total Shareholder Return; or (v) a bankruptcy or liquidation of a Peer Group member, such Peer Group member will remain a member of the Peer Group and the Total Shareholder Return of such Peer Group member shall equal -100%.
Peer Group. The term “Peer Group” means Hercules Offshore, Inc., Rowan Companies Inc., Xxxxxx Industries Ltd., Xxxxxxxxx-UTI Energy Inc., Helmerich & Xxxxx Inc., and Superior Energy Services, Inc., or any successor to the foregoing primarily engaged in the same trade or business as such entity was engaged in as of the date of the Agreement.
Peer Group. SNL Index of banks and thrifts located in New England and Mid-Atlantic with assets of PEER GROUP as constituted at the end of the Performance Measurement Period or Shortened Performance Measurement Period, as applicable.

Peer Group. The “Peer Group” shall consist of the companies in the KBW Bank Index as of January 1, 2023, excluding custody banks, as shown below. For members of the Peer Group who fail, are acquired, or cease to have publicly-traded shares before the conclusion of the Performance Period, their Adjusted ROTCE and Growth of Tangible Book Value Per Share Plus Common Dividends (“Adj ROTCE and GTBVPS+D”) through the time the independent company stops reporting GAAP financials will be frozen and this Adj ROTCE and GTBVPS+D measurement will serve as their final Adj ROTCE and GTBVPS+D measurement for the Performance Period. Members of the Peer Group that continue to operate as independent companies, but that are not a member of the KBW Bank Index at the conclusion of the Performance Period, will continue to be used in the Peer Group for purposes of the award determination or calculation through the full three-year Performance Period. Any new entrants to the KBW Bank Index after January 1, 2023 will not be considered members of the Peer Group for any award determination or calculation related to this Agreement.
