Trade Control Terms sanctions and export controls. To the extent applicable, Lessee, its officers, directors, employees, and any individuals or entities (“persons”) acting on its behalf shall at all times comply with all sanctions and export control laws, regulations, and orders, which may be administered and enforced from time to time by the U.S. Government (including but not limited to the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), the U.S. Department of Commerce’s Bureau of Industry and Security, and the U.S. Department of State), as well as by any relevant sanctions or export control authority of a jurisdiction where the parties to this Agreement operate (collectively, “Trade Control Laws”). Lessee, its officers, directors, employees and any persons acting on its behalf (i) are not, and (ii) are not owned or controlled directly or indirectly by: (a) persons that are the target of any Trade Control Laws, including but not limited to persons that are identified on the OFAC Specially Designated Nationals and Blocked Persons List, persons meeting the definition of the Government of Venezuela, or (b) persons located, organized, or resident in Venezuela or in any country or region that is the target of any U.S. comprehensive sanctions (including currently Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, the Donetsk People’s Republic, and the Luhansk People’s Republic together “Sanctioned Countries”). In the performance of this Agreement, Lessee shall not directly or indirectly export, re-export, transfer, or import commodities, software, technology, or services (i) to or from any person located in or acting on behalf of a person located in Venezuela or in any Sanctioned Country, or (ii) in any other manner that would result in a violation of any Trade Control Laws, including U.S. sanctions and export control laws, by any person. Lessee shall immediately notify Lessor in writing if subsequent developments cause the statements in this Section to be inaccurate or incomplete.
