Common use of Trade Relations Clause in Contracts

Trade Relations. There exists no actual or threatened termination, cancellation or limitation of, or any modification or change in, the business relationship between Borrower or any of its Subsidiaries and any customer or any group of customers whose purchases individually or in the aggregate are material to the business of Borrower or any of its Subsidiaries, or with any material supplier, and there exists no present condition or state of facts or circumstances which would materially affect adversely Borrower or any of its Subsidiaries or prevent Borrower or any of its Subsidiaries from conducting such business after the consummation of the transaction contemplated by this Agreement in substantially the same manner in which it has heretofore been conducted.

Trade Relations. There exists no actual or threatened termination, cancellation or limitation of, or any modification or change in, the business relationship between Borrower any Loan Party or any of its Subsidiaries and any customer or any group of customers whose purchases individually or in the aggregate are material to the business of Borrower any Loan Party or any of its Subsidiaries, or with any material supplier, and there exists no present condition or state of facts or circumstances which would materially affect adversely Borrower any Loan Party or any of its Subsidiaries or prevent Borrower any Loan Party or any of its Subsidiaries from conducting such business after the consummation of the transaction contemplated by this Agreement in substantially the same manner in which it has heretofore been conducted.

Trade Relations. There To the best of such Borrower's knowledge, there exists no actual or threatened termination, cancellation or limitation of, or any modification or change in, the business relationship between of such Borrower or any of its Subsidiaries and any customer or any group of customers whose purchases individually or in the aggregate are material to the business of Borrower or any of its Subsidiariessuch Borrower, or with any material supplier, and there exists no present condition or state of facts or circumstances known to such Borrower which would materially affect adversely have a Material Adverse Effect on such Borrower or in any of its Subsidiaries respect or prevent such Borrower or any of its Subsidiaries from conducting such business after the consummation of the transaction transactions contemplated by this Agreement in substantially the same manner in which it has heretofore been conductedconducted except for economic conditions and such other factors not within the reasonable control of such Borrower.

There exists no actual or threatened termination, cancellation or limitation of, or any modification or change in, the business relationship between each Borrower or any of its Subsidiaries and any customer or any group of customers whose purchases individually or in the aggregate are material to the business of such Borrower or any of its Subsidiaries, or with any material supplier, and there exists no present condition or state of facts or circumstances which would materially affect adversely such Borrower or any of its Subsidiaries or prevent such Borrower or any of its Subsidiaries from conducting such business businesses after the consummation of the transaction contemplated by this Agreement in substantially the same manner in which it has they have heretofore been conducted.

Trade Relations. There exists no actual or threatened termination, cancellation or limitation of, or any modification or change in, the business relationship between Borrower or any of its Subsidiaries and any customer or any group of customers of Borrower, the absence of whose purchases individually or in the aggregate are material to the business of Borrower or any of its Subsidiarieswould likely have a Material Adverse Effect, or with any material suppliersupplier of Borrower, and there the absence of whose products or services would likely have a Material Adverse Effect. There exists no present condition or state of facts or circumstances which would materially affect adversely have a Material Adverse Effect on Borrower or any of its Subsidiaries or prevent Borrower or any of its Subsidiaries from conducting such its business after the consummation of the transaction contemplated by this Agreement in substantially the same manner in which it has heretofore been conducted.

There exists no actual or or, to the Borrowers' knowledge, threatened termination, cancellation or limitation of, or any modification or change in, the business relationship between of any Borrower or any of its Subsidiaries and Subsidiary with any customer or any group of customers whose purchases individually or in the aggregate are material to the business of a Borrower or any of its SubsidiariesSubsidiary, or with any material supplier, and there exists no present condition or state of facts or circumstances which that would materially adversely affect adversely any Borrower or any of its Subsidiaries Subsidiary or prevent any Borrower or any of its Subsidiaries Subsidiary from conducting such business after the consummation of the transaction transactions contemplated by this Agreement in substantially the same manner in which it has heretofore been conducted.

There exists no actual or threatened termination, cancellation or limitation of, or any modification or change in, the business relationship between Borrower any Credit Party or any of its Subsidiaries and any customer or any group of customers whose purchases individually or in the aggregate are material to the business of Borrower any Credit Party or any of its Subsidiaries, or with any material supplier, and there exists no present condition or state of facts or circumstances which would materially affect adversely Borrower any Credit Party or any of its Subsidiaries or prevent Borrower any Credit Party or any of its Subsidiaries from conducting such business after the consummation of the transaction contemplated by this Agreement in substantially the same manner in which it has heretofore been conducted.

There exists no actual or threatened termination, cancellation or limitation of, or any modification or change in, the business relationship between any Borrower or any of its Subsidiaries Subsidiary and any customer or any group of customers whose purchases of goods or services individually or in the aggregate are material to the business of such Borrower or any of its Subsidiariessuch Subsidiary, or with any material supplier, and there exists no present condition or state of facts or circumstances which would materially adversely affect adversely Borrower the Borrowers or any of its their Subsidiaries or prevent Borrower the Borrowers or any of its their Subsidiaries from conducting such business their businesses after the consummation of the transaction transactions contemplated by this Agreement in substantially the same manner in which it has such businesses heretofore have been conducted.

There exists no actual or threatened termination, cancellation or limitation of, or any material adverse modification or change Material Adverse Change in, the business relationship between any Borrower or any of its Subsidiaries and any customer or any group of customers whose purchases individually or in the aggregate are material to the business of Borrower or any of its SubsidiariesBorrowers, taken as a whole, or with any material supplier, and and, to its best knowledge, there exists no present condition or state of facts or circumstances which would materially affect adversely Borrower or any of its Subsidiaries Borrowers, taken as a whole, or prevent Borrower or any of its Subsidiaries Borrowers, taken as a whole, from conducting such business after the consummation of the transaction contemplated by this Agreement in substantially the same manner in which it has heretofore been conducted.

There exists no actual or threatened termination, cancellation or limitation of, or any modification or change in, the business relationship between either Borrower or any Subsidiary of its Subsidiaries such Borrower and any customer or any group of customers whose purchases individually or in the aggregate are material to the business of Borrower or any of its Subsidiaries, Borrowers or with any material supplier, and there exists no present condition or state of facts or circumstances which would materially affect adversely Borrowers or any Subsidiary of Borrowers or prevent either Borrower or any Subsidiary of its Subsidiaries or prevent such Borrower or any of its Subsidiaries from conducting such business after the consummation of the transaction transactions contemplated by this Agreement in substantially the same manner in which it has heretofore been conducted.

There exists no actual or threatened termination, cancellation or limitation of, or any modification or change in, the business relationship between a Borrower or any of its Subsidiaries and any customer or any group of customers whose purchases individually or in the aggregate are material to the business of a Borrower or any of and its Subsidiaries, Subsidiaries taken as a whole or with any material supplier, and there exists no present condition or state of facts or circumstances which would materially affect adversely a Borrower or any of its Subsidiaries or prevent a Borrower or any of its Subsidiaries from conducting such business after the consummation of the transaction contemplated by this Agreement in substantially the same manner in which it has heretofore been conducted.
