Transaction Compliance with Constating Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by UQ, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of UQ under: (A) any term or provision of any of the articles, by-laws or other constating documents of UQ; (B) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which UQ is a party or by which it is bound; or (C) subject to obtaining the regulatory consents from the Exchange, any term or provision of any of the UQ Material Contracts or any order of any Governmental Authority to which UQ is subject.

Transaction Compliance with Constating Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by BVT, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of BVT under: (A) any term or provision of any of the articles, by-laws or other constating documents of BVT; (B) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which BVT is a party or by which it is bound; or (C) any term or provision of any of the Business Permits, BVT Material Contracts or any order of any court, governmental authority or regulatory body made against BVT or its Assets or any law or regulation of any jurisdiction in which the Business is carried on which is applicable to BVT or its Assets.

The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by Abba, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of Abba under: (i) any term or provision of any of the articles, by-laws or other constating documents of Abba or resolutions of the directors or shareholders of Abba; (ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Abba is a party or by which it is bound; or (iii) any order of any court, Regulatory Authority or governmental body made against Abba or the Abba Assets or any law or regulation of any jurisdiction in which business is carried on which is applicable to Abba or the Abba Assets.

The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by Loc8, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of Loc8 under: (i) any term or provision of any of the articles, by-laws or other constating documents of Loc8; (ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Loc8 is a party or by which it is bound; or (iii) any term or provision of any of the Business Permits, Loc8 Material Contracts or any order of any court, governmental authority or regulatory body made against Loc8 or the Loc8 Assets or any law or regulation of any jurisdiction in which the Business is carried on which is applicable to Loc8 or the Loc8 Assets.

The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by MFT, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of MFT under: (i) any term or provision of any of the articles, by-laws or other constating documents of MFT or resolutions of the directors or shareholders of MFT; (ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which MFT is a party or by which it is bound; or (iii) any order of any court, Regulatory Authority or governmental body made against MFT or the MFT Assets or any law or regulation of any jurisdiction in which business is carried on which is applicable to MFT or the MFT Assets.

The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by LPC, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of LPC under: (i) any term or provision of any of the articles, by-laws or other constating documents of LPC or resolutions of the directors or shareholders of LPC; (ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which LPC is a party or by which it is bound; or (iii) any order of any court, Regulatory Authority or governmental body made against LPC or the LPC Assets or any law or regulation of any jurisdiction in which business is carried on which is applicable to LPC or the LPC Assets.

Transaction Compliance with Constating Documents, Agreements and Laws. The execution, delivery, and performance of this Agreement and each of the other agreements contemplated or referred to herein by Tracker, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of Tracker under: (i) any term or provision of the constating documents of Tracker; (ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Tracker is a party or by which it is bound; or (iii) any term or provision of any of the business permits, Tracker Material Contracts or any Order made against Tracker or its Assets or any law or regulation of any jurisdiction in which its business is carried on which is applicable to Tracker or its Assets, including a rule or policy of the Exchange (except that the Listing Conditional Approval, which is required to be obtained by Tracker prior to the Closing, will be applied for by Tracker but has not been obtained as of the date hereof).

The execution, delivery, and performance of this Agreement and each of the other agreements contemplated or referred to herein by Target and Contakt, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of either of Target or Contakt under: (i) any term or provision of the constating documents of Target or Contakt; (ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Target or Contakt is a party or by which either is bound; or (iii) any term or provision of any of the Business Permits, Contakt Material Contracts or any Order made against Contakt or its Assets or any law or regulation of any jurisdiction in which the Business is carried on which is applicable to Contakt or its Assets.
