Transaction Compliance with Constating Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by each Vendor and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of such Vendor under the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which such Vendor is a party or by which he or it is bound.
Transaction Compliance with Constating Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by BVT, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of BVT under:
(A) any term or provision of any of the articles, by-laws or other constating documents of BVT;
(B) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which BVT is a party or by which it is bound; or
(C) any term or provision of any of the Business Permits, BVT Material Contracts or any order of any court, governmental authority or regulatory body made against BVT or its Assets or any law or regulation of any jurisdiction in which the Business is carried on which is applicable to BVT or its Assets.
Transaction Compliance with Constating Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by UQ, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of UQ under:
(A) any term or provision of any of the articles, by-laws or other constating documents of UQ;
(B) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which UQ is a party or by which it is bound; or
(C) subject to obtaining the regulatory consents from the Exchange, any term or provision of any of the UQ Material Contracts or any order of any Governmental Authority to which UQ is subject.
Transaction Compliance with Constating Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by Braingrid, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of Braingrid under:
(i) any term or provision of any of the articles, by-laws or other constating documents of Xxxxxxxxx;
(ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Braingrid is a party or by which it is bound; or
(iii) subject to obtaining the required consents as set forth herein, any term or provision of any of permit, Braingrid Material Contracts or any order of any court, Governmental Authority or regulatory body made against Braingrid or the Braingrid Assets or any law or regulation of any jurisdiction in which the Business is carried on which is applicable to Braingrid or the Braingrid Assets.

The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by Match, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of Match under:
(i) any term or provision of any of the articles, by-laws or other constating documents of Match;
(ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Match is a party or by which it is bound; or
(iii) subject to obtaining the regulatory consents from the Exchange, any term or provision of any of the Match Material Contracts or any order of any court, Governmental Authority or regulatory body or any law or regulation to which Match is subject.
Transaction Compliance with Constating Documents, Agreements and Laws. The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by Optimind, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of Optimind under:
(i) any term or provision of any of the articles, by-laws or other constating documents of Optimind;
(ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Optimind is a party or by which it is bound; or
(iii) any term or provision of any of the Business Permits, Optimind Material Contracts or any order of any court, governmental authority or regulatory body made against Optimind or the Optimind Assets or any law or regulation of any jurisdiction in which the Business is carried on which is applicable to Optimind or the Optimind Assets.

The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by Xxxx, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of Loon under:
(i) any term or provision of any of the articles, by-laws or other constating documents of Xxxx;
(ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Loon is a party or by which it is bound; or
(iii) subject to obtaining the regulatory consents from the Exchange, any term or provision of any of the Loon Material Contracts or any order of any court, Governmental Authority or regulatory body or any law or regulation to which Loon is subject.
Transaction Compliance with Constating Documents, Agreements and Laws. The execution, delivery, and performance of this Agreement and each of the other agreements contemplated or referred to herein by Target and Contakt, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of either of Target or Contakt under:
(i) any term or provision of the constating documents of Target or Contakt;
(ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Target or Contakt is a party or by which either is bound; or
(iii) any term or provision of any of the Business Permits, Contakt Material Contracts or any Order made against Contakt or its Assets or any law or regulation of any jurisdiction in which the Business is carried on which is applicable to Contakt or its Assets.
Transaction Compliance with Constating Documents, Agreements and Laws. The execution, delivery, and performance of this Agreement and each of the other agreements contemplated or referred to herein by Tracker, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of Tracker under:
(i) any term or provision of the constating documents of Tracker;
(ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which Tracker is a party or by which it is bound; or
(iii) any term or provision of any of the business permits, Tracker Material Contracts or any Order made against Tracker or its Assets or any law or regulation of any jurisdiction in which its business is carried on which is applicable to Tracker or its Assets, including a rule or policy of the Exchange (except that the Listing Conditional Approval, which is required to be obtained by Tracker prior to the Closing, will be applied for by Tracker but has not been obtained as of the date hereof).

The execution, delivery and performance of this Agreement and each of the other agreements contemplated or referred to herein by SMAART, and the completion of the transactions contemplated hereby, will not constitute or result in a violation or breach of or default under, or cause the acceleration of any obligations of SMAART under:
(i) any term or provision of any of the articles, by-laws or other constating documents of SMAART;
(ii) the terms of any agreement (written or oral), indenture, instrument or understanding or other obligation or restriction to which SMAART is a party or by which it is bound; or
(iii) any term or provision of any of the Business Permits, SMAART Material Contracts or any order of any court, governmental authority or regulatory body made against SMAART or the SMAART Assets or any law or regulation of any jurisdiction in which the Business is carried on which is applicable to SMAART or the SMAART Assets.
