Transfer of HUD Funds. The parties to this Limited Partnership Agreement acknowledge that the transfer of public housing development and/or operating assistance (including HOPE VI assistance, if applicable) to the Owner shall not be deemed to be an assignment of development and/or operating assistance. Accordingly, the parties further acknowledge that the Owner shall not succeed to any rights or benefits of the Authority under the ACC, the Mixed Finance ACC Amendment, the HOPE VI grant agreement (if applicable), nor shall it attain any privileges, authorities, interests, or rights in or under the ACC, the Mixed Finance ACC Amendment, or the HOPE VI grant agreement.

Transfer of HUD Funds. The parties to this Agreement acknowledge that the transfer of development assistance made available through the CNI program to Housing Authority to lend to the Partnership shall not be deemed to be an assignment by HUD of such CNI assistance. Accordingly, the parties further acknowledge that the Partnership shall not succeed to any rights or benefits of the Housing Authority under the AHAP, HAP, RAD HAP Contract or the CNI Grant Agreement, nor shall it attain any privileges, authorities, interests, or rights in or under the CNI Grant Agreement.
