Transfer or Appropriations Failure. Provided that the Lead Provider is not in Material Breach under this Contract and an Early Termination Event has not otherwise taken place, if (i) the State fails to transfer monies for deposit into the Account for the current State fiscal year in the amount needed to maintain the fund balances described in Exhibit F hereof by August 1 of each State fiscal year or (ii) the State fails by the close of any regular legislative session to appropriate funds in the amount needed to make the Direct Payments, Success Payments, and Cross-Collateral Payment, if any, described in this Contract with respect to the following State fiscal year, then the Lead Provider may terminate this Contract; provided, however, that if the State notifies the Lead Provider in writing on or before the fifth Business Day following June 15 that it intends to request that the amount described in (i) be transferred by July 20 of the State fiscal year in question, then the Lead Provider may not terminate this Contract unless the amount is not transferred or appropriated by such July 20. Such termination is made pursuant to and in accordance with the terms of this Contract, and any such transfer or appropriations failure shall not be considered to be a breach or default on the part of the State, and, except as otherwise set forth herein, shall not result in the State having liability to the Lead Provider or any third party for any penalty, liability, or other expense.

  • Termination Due To Lack Of Funding Appropriation If, in the judgment of the Director of Accounts and Reports, Department of Administration, sufficient funds are not appropriated to continue the function performed in this agreement and for the payment of the charges hereunder, State may terminate this agreement at the end of its current fiscal year. State agrees to give written notice of termination to contractor at least 30 days prior to the end of its current fiscal year, and shall give such notice for a greater period prior to the end of such fiscal year as may be provided in this contract, except that such notice shall not be required prior to 90 days before the end of such fiscal year. Contractor shall have the right, at the end of such fiscal year, to take possession of any equipment provided State under the contract. State will pay to the contractor all regular contractual payments incurred through the end of such fiscal year, plus contractual charges incidental to the return of any such equipment. Upon termination of the agreement by State, title to any such equipment shall revert to contractor at the end of the State's current fiscal year. The termination of the contract pursuant to this paragraph shall not cause any penalty to be charged to the agency or the contractor.

  • Non-Appropriation If this Agreement extends into more than one fiscal year of the State (July 1 to June 30), and if appropriations are insufficient to support this Agreement, the State may cancel at the end of the fiscal year, or otherwise upon the expiration of existing appropriation authority. In the case that this Agreement is a Grant that is funded in whole or in part by Federal funds, and in the event Federal funds become unavailable or reduced, the State may suspend or cancel this Grant immediately, and the State shall have no obligation to pay Subrecipient from State revenues.

  • Annual Appropriation of Funds Contractor acknowledges that the Contract term may extend over multiple City fiscal years, and that work and compensation under this Contract is contingent on the City Council appropriating funding for and authorizing such work and compensation for those fiscal years. This Contract may be terminated at the end of the fiscal year for which sufficient funding is not appropriated and authorized. City is not obligated to pay Contractor for any amounts not duly appropriated and authorized by City Council.

  • Independence from Material Breach Determination Except as set forth in Section X.D.1.c, these provisions for payment of Stipulated Penalties shall not affect or otherwise set a standard for OIG’s decision that CHSI has materially breached this CIA, which decision shall be made at OIG’s discretion and shall be governed by the provisions in Section X.D, below.

  • Annual Appropriation Pursuant to section 287.0582, F.S., if the Contract binds the State of Florida or an agency for the purchase of services or tangible personal property for a period in excess of one fiscal year, the State of Florida’s performance and obligation to pay under the Contract is contingent upon an annual appropriation by the Legislature.
