Transferred Permit/License and Surety Bond Matters. (a) To the extent permitted by Law, Purchaser shall prepare, at its sole cost and expense, all applications required to transfer the Transferred Permits/Licenses (which applications shall include the necessary applications, notices, forms and other documents to appoint Purchaser as the designated operator on the Transferred Permits/Licenses with the appropriate Governmental Body). Sellers shall cooperate with and provide reasonable assistance to Purchaser in connection with such preparation and such applications shall be reasonably satisfactory to Purchaser. As promptly as practicable and in no event later than 10 days after the date hereof, Purchaser shall properly file all applications required to transfer the Transferred Permits/Licenses from Sellers and their Affiliates to Purchaser with the appropriate Governmental Body. From and after the date hereof, Purchaser shall use its reasonable best efforts to pursue the prompt transfer of the Transferred Permits/Licenses to Purchaser. Sellers agree to provide the cooperation reasonably requested by Purchaser to procure the transfer of the Transferred Permits/Licenses.

Transferred Permit/License and Surety Bond Matters. (a) (i) to the extent permitted by Applicable Law, Sellers shall prepare, at their sole cost and expense, all applications required to transfer the Transferred Permits/Licenses (which applications shall include the necessary applications, notices, forms and other documents to appoint Buyer and/or the relevant Designated Buyers, as applicable, as the designated operator on the Transferred Permits/Licenses with the appropriate Governmental Authority), (i) Buyer shall cooperate with and provide reasonable assistance to Sellers in connection with such preparation and such applications shall be reasonably satisfactory to Buyer, (i) all such applications shall be executed no later than the Closing, (i) no later than 30 days after the Closing, Buyer and/or the relevant Designated Buyers, as applicable, shall properly file all applications required to transfer the Transferred Permits/Licenses from the Sellers and their Affiliates to Buyer and/or the relevant Designated Buyers, as applicable, and (i) Buyer and/or the relevant Designated Buyers, as applicable, shall use commercially reasonable efforts to take, or cause to be taken, all actions and do, or cause to be done, all things necessary or desirable under Applicable Law to put in place with the appropriate Governmental Authority as promptly as commercially reasonably possible after the Closing (but no earlier than such time as the applicable Governmental Authorities have provided notice of intent to approve the transfer of the Transferred Permits/Licenses) financial assurances necessary to transfer the Transferred Permits/Licenses from the Sellers and their Affiliates to Buyer and/or the relevant Designated Buyers, as applicable; provided that neither the Buyer nor the Designated Buyers, nor their respective Affiliates, shall be obligated to take or consummate a transfer of any of the permits or licenses listed on Schedule ‎3.07(a) if (x) such permits or licenses are not primarily related to any of the Mining Complexes and Buyer so elects, in which case such permits or licenses will not be considered Transferred Permits/Licenses notwithstanding anything in this Agreement to the contrary (including the fact that such licenses or permits were listed on Schedule ‎3.07(a)), (y) any Governmental Authority (I) seeks to impose new or additional conditions to any Transferred Permits/License that would materially increase the cost of compliance or operating a covered operation or (II) demands a material increase in the...

The Sellers shall cooperate with and provide reasonable assistance to Purchaser in connection with such preparation and such applications shall be reasonably satisfactory to Purchaser. As promptly as practicable, Purchaser shall properly file all applications required to transfer the Transferred Permits/Licenses from the Sellers and their Affiliates to Purchaser with the appropriate Governmental Body (except for any applications which may not be filed prior to Purchaser being party to a fully executed surety agreement, which shall be properly filed promptly after the applicable surety agreement is executed in accordance with this Agreement, and in any event prior to the Closing). From and after the Closing, Purchaser shall use its commercially reasonable efforts to pursue the prompt transfer of the Transferred Permits/Licenses to Purchaser. The Sellers agree to provide the cooperation reasonably requested by Purchaser to procure the transfer of the Transferred Permits/Licenses.

  • Compliance with Laws, Contracts, Licenses, and Permits Borrower will comply, and will cause Owner to comply, with (a) all applicable laws and regulations now or hereafter in effect wherever their business is conducted, including all Environmental Laws, (b) the provisions of all applicable operating agreements, charter documents and by laws, (c) all agreements and instruments to which Borrower or Owner is a party or by which Borrower or Owner or any of Borrower’s or Owner’s properties may be bound including the Basic Agreements and any leases, (d) all applicable decrees, orders, and judgments, and (e) all licenses and permits required by applicable laws and regulations for the conduct of Owner’s and Borrower’s business or the ownership, use or operation of Owner’s and Borrower’s properties. If at any time any authorization, consent, approval, permit or license from any officer, agency or instrumentality of any government shall become necessary or required in order that Borrower or Owner may fulfill or be in compliance with any of its obligations hereunder or under any of the Loan Documents, Borrower will promptly take or cause to be taken all reasonable steps within the power of Borrower to obtain such authorization, consent, approval, permit or license and furnish Lender with evidence thereof.

  • Permits, Licenses, Etc Each of the Borrower and its Subsidiaries possesses all permits, licenses, patents, patent rights or licenses, trademarks, trademark rights, trade names rights, and copyrights which are material to the conduct of its business. The Mortgage Loan requires the related Mortgagor to be qualified to do business in the jurisdiction in which the related Mortgaged Property is located and for the Mortgagor and the Mortgaged Property to be in compliance in all material respects with all regulations, zoning and building laws.

  • Consents, Permits, and Waivers The Company shall have obtained any and all consents, permits and waivers necessary or appropriate for consummation of the transactions contemplated by the Agreement and the Related Agreements.
