Transition for Local Switching. 4.2.1 For purposes of this Section 4, the Transition Period for the Embedded Base of Local Switching is the twelve (12) month period beginning March 11, 2005 and ending March 10, 2006. 4.2.2 For the purposes of this Section 4, Embedded Base shall mean Local Switching and any additional elements that are required to be provided in conjunction therewith that were in service for MRC as of March 10, 2005. Subsequent disconnects or loss of End Users shall be removed from the Embedded Base. 4.2.3 During the Transition Period only, BellSouth shall make Local Switching available for the Embedded Base, in addition to all elements that are required to be provided in conjunction with Local Switching, at the rates, terms and conditions set forth in this Attachment. The Transition Period shall apply only to MRC’s Embedded Base and MRC shall not place new orders for Local Switching pursuant to this Agreement. 4.2.4 Notwithstanding the Effective Date of this Agreement, the rates for MRC’s Embedded Base of Local Switching during the Transition Period shall be as set forth in Exhibit A. 4.2.5 MRC must submit orders, to disconnect or convert all of its Embedded Base of Local Switching to other BellSouth services as Conversions pursuant to Section 1.6 by October 1, 2005. 4.2.5.1 If MRC fails to submit orders to disconnect or convert all of its Embedded Base of Local Switching as specified in Section 4.2.5 above prior to October 1, 2005, BellSouth will identify MRC's remaining Embedded Base of Local Switching and will disconnect such Local Switching. Those circuits identified and disconnected by BellSouth shall be subject to the applicable disconnect charges as set forth in this Agreement. 4.2.6 Effective March 11, 2006, Local Switching will no longer be made available pursuant to this Agreement.

BellSouth shall xxxx to ITC^DeltaCom the amount owed for the Embedded Base of Local Switching for the period from March 11, 2005 to the Effective Date, and ITC^DeltaCom shall pay such amount according to payment processes set forth in Attachment 6 of this Agreement. 4.2.5 MRC ITC^DeltaCom must submit orders, to disconnect or convert all of its Embedded Base of Local Switching to other BellSouth services as Conversions pursuant to Section 1.6 above by October December 1, 2005. 4.2.5.1 If MRC ITC^DeltaCom fails to submit orders to disconnect or convert all of its Embedded Base of Local Switching as specified in Section 4.2.5 above prior to October December 1, 2005, BellSouth will identify MRCITC^DeltaCom's remaining Embedded Base of Local Switching and will disconnect such Local Switching. Those circuits identified and disconnected by BellSouth shall be subject to the applicable disconnect charges as set forth in this Agreement. 4.2.6 Effective March 11, 2006, Local Switching will no longer be made available pursuant to this Agreement.

BellSouth shall xxxx to Southern Digital the amount owed for the Embedded Base of Local Switching for the period from March 11, 2005 to the Effective Date, and Southern Digital shall pay such amount according to payment processes set forth in Attachment 7 of this Agreement. 4.2.5 MRC Southern Digital must submit orders, to disconnect or convert all of its Embedded Base of Local Switching to other BellSouth services as Conversions pursuant to Section 1.6 above by October February 1, 20052006. 4.2.5.1 If MRC Southern Digital fails to submit orders to disconnect or convert all of its Embedded Base of Local Switching as specified in Section 4.2.5 above prior to October February 1, 20052006, BellSouth will identify MRCSouthern Digital's remaining Embedded Base of Local Switching and will disconnect such Local Switching. Those circuits identified and disconnected by BellSouth shall be subject to the applicable disconnect charges as set forth in this Agreement. 4.2.6 Effective March 11, 2006, Local Switching will no longer be made available pursuant to this Agreement.

The Transition Period shall apply only to MRCU-Dial’s Embedded Base and MRC U-Dial shall not place new orders for Local Switching pursuant to this Agreement. 4.2.4 Notwithstanding the Effective Date of this Agreement, the rates for MRCU-Dial’s Embedded Base of Local Switching during the Transition Period shall be as set forth in Exhibit A. 4.2.5 MRC U-Dial must submit orders, to disconnect or convert all of its Embedded Base of Local Switching to other BellSouth services as Conversions pursuant to Section 1.6 by October 1, 2005. 4.2.5.1 If MRC U-Dial fails to submit orders to disconnect or convert all of its Embedded Base of Local Switching as specified in Section 4.2.5 above prior to October 1, 2005, BellSouth will identify MRCU-Dial's remaining Embedded Base of Local Switching and will disconnect such Local Switching. Those circuits identified and disconnected by BellSouth shall be subject to the applicable disconnect charges as set forth in this Agreement. 4.2.6 Effective March 11, 2006, Local Switching will no longer be made available pursuant to this Agreement.
