Trust for Excess Shares. Upon any purported Transfer that results in Excess Shares pursuant to Section 6.3, such Excess Shares shall be deemed to have been transferred to the Excess Share Trustee, as trustee of the Excess Share Trust for the exclusive benefit of the Charitable Beneficiary. Excess Shares so held in trust shall be issued and outstanding Units of the REIT. The Purported Beneficial Transferee shall have no rights in such Excess Shares except as provided in Section 6.17.

Trust for Excess Shares. Upon the designation of any Shares as Excess Shares pursuant to Section 7.2(c), such Excess Shares shall be deemed to have been transferred immediately before such event to the Excess Share Trustee, as trustee of the Excess Share Trust for the exclusive benefit of the Charitable Beneficiary. If the Trustees have not identified an Excess Share Trustee, the Trustees shall serve as the Excess Share Trustee until they identify a replacement Excess Share Trustee. Excess Shares so held in trust shall be issued and outstanding Shares of the Company. The Purported Beneficial Assignee and the Purported Record Assignee shall have no rights in such Excess Shares except as provided in Section 7.2(q).

Without limiting the foregoing, when a Person (such as a broker, dealer, bank, trust company or clearing corporation or an agent of any of the foregoing) is acting as nominee, agent or in some other representative capacity for another Person in acquiring and/or holding Shares, as between the Company on the one hand, and such other Persons on the other, such representative Person shall be the Record Holder of such Shares.
