Trustee’s Consent any consent given by the Trustee for the purposes of this Trust Deed may be given on such terms and subject to such conditions (if any) as the Trustee may require;
Trustee’s Consent. No amendment, modification, termination or waiver of any provision of this Agreement, or consent to any departure by the Grantor therefrom, shall in any event be effective without the written concurrence of the Trustee.
Trustee’s Consent to Act and Indemnification of the Trustee. The Trustee hereby grants and consents to act as Trustee hereunder. The Grantor agrees to indemnify the Trustee and hold it harmless from and against all claims, liabilities, legal fees and expenses that may be asserted against it, otherwise than on account of the Trustee's own negligence or willful misconduct (as found by a final judgment of a court of competent jurisdiction) by reason of the Trustee's taking or refraining from taking any action in connection with the Trust, whether or not the Trustee is a party to a legal proceeding or otherwise.
Trustee’s Consent. Under no condition, shall such amendment, amendments, or restatements increase the duties or responsibilities, or decrease the compensation, privileges, and immunities of the Trustee without the Trustee’s written consent.
Trustee’s Consent. Any consent or approval given by the Trustee for the purposes of this Trust Deed may be given on such terms and subject to such conditions (if any) as the Trustee thinks fit and notwithstanding anything to the contrary in this Trust Deed may be given retrospectively. The Trustee may give any consent or approval, exercise any power, authority or discretion or take any similar action (whether or not such consent, approval, power, authority, discretion or action is specifically referred to in this Trust Deed) if it is satisfied that the interests of the Noteholders will not be materially prejudiced thereby. For the avoidance of doubt, the Trustee shall not have any duty to the Noteholders in relation to such matters other than that which is contained in the preceding sentence.
Trustee’s Consent. To the extent they have any interest herein, this Agreement has been approved and shall be binding upon the Trustees of that certain trust created by Declaration of Trust dated April 1, 1909 by John X. Xxxxxxxxxxx,
Trustee’s Consent. Wherever in this Agreement Trustee has expressly agreed to not unreasonably withhold or delay its consent as to a particular matter, such agreement not to withhold or delay consent shall not apply to the extent the subject matter of the consent relates to the Labor Covenant, ERISA and/or UBIT matters. For such matters, Trustee’s consent shall be in its sole discretion.
