UCC Authorization. Borrower authorizes Bank to file such UCC Financing Statements describing the collateral in any location deemed necessary and appropriate by Bank.
UCC Authorization. The Administrative Agent is hereby irrevocably authorized to execute (if necessary) and file or cause to be filed, with or if permitted by applicable Law without the signature of any Borrower appearing thereon, all UCC financing statements reflecting any Borrower as “debtor” and the Administrative Agent as “secured party”, and continuations thereof and amendments thereto, as the Administrative Agent reasonably deems necessary or advisable to give effect to the transactions contemplated hereby and by the other Loan Documents.
UCC Authorization. The Lender is hereby irrevocably authorized to execute (if necessary) and file or cause to be filed, with or if permitted by applicable Law without the signature of any Borrower appearing thereon, all UCC financing statements reflecting any Borrower as “debtor” and the Lender as “secured party,” and continuations thereof and amendments thereto, as the Lender reasonably deems necessary or advisable to give effect to the transactions contemplated hereby and by the other Loan Documents.
UCC Authorization. Debtor authorizes Secured Party to file such UCC Financing Statements describing the Collateral in any location deemed necessary and appropriate by Secured Party.
UCC Authorization. In furtherance of the transactions contemplated by this Amendment, the Administrative Agent, for itself and each Purchaser, hereby authorizes, upon the effectiveness of this Amendment, the filing of amendments to the financing statements filed against:
(a) XXX Xxxxxxxxxxx with the Maryland Department of Assessments & Taxation with original file number 0000000181515518;
(b) XXX Xxxxxxxxxxx with the Maryland Department of Assessments & Taxation with original file number 211004-1247000;
(c) Cardtronics USA, Inc. with the Secretary of State of the State of Delaware with original file number 2021 7845960;
(d) ATM National, LLC with the Secretary of State of the State of Delaware with original file number 2021 7846109;
(e) NCR Receivables LLC with the Secretary of State of the State of Delaware with original file number 2014 4721502; and
(f) NCR Receivables LLC with the Secretary of State of the State of Delaware with original file number 2021 7845804; in each case, providing for the deletion of collateral substantially in the manner described on the attached Exhibit B.
UCC Authorization. In furtherance of the transactions contemplated by this Amendment, the Agent, for itself and each other Purchaser, hereby authorizes, upon the effectiveness of this Amendment, the filing of amendments to the financing statement filed against Avnet with the Department of State of the State of New York with original file numbers 127178, 129624, 035098, 035089 and 201808170390411 in substantially the forms attached hereto as Annex X-0, Xxxxx X-0, Xxxxx X-0, Xxxxx C-4 and Annex C-5.
UCC Authorization. The Lender is hereby authorized to file such UCC Financing Statements describing the Collateral in any location deemed necessary and appropriate by Lender, as well as any amendments or extensions thereto, provided in each case the Collateral description is the same as has been approved by the parties in the Loan Documents. In the event the Collateral description materially differs from the description in the Loan Documents, prior to filing the applicable UCC Financing Statement Lender shall provide Borrower with a copy of such proposed UCC Financing Statement and such Borrower shall have approved of such filing as being in accordance with the terms and provisions of this Loan Agreement and the other Loan Documents (such approval not to be unreasonable withheld conditioned or delayed).
