UGoverning LawU. EXCEPT AS OTHERWISE PROVIDED IN SECTION 8 ABOVE, THIS AGREEMENT SHALL BE CONSTRUED IN ACCORDANCE WITH, AND THIS AGREEMENT AND ALL MATTERS ARISING OUT OF OR RELATING IN ANY WAY TO THIS AGREEMENT SHALL BE GOVERNED BY, THE LAWS OF THE STATE OF NEW YORK, WITHOUT REGARD TO CONFLICTS OF LAWS PRINCIPLES.
UGoverning LawU. The First Amendment shall be constructed in accordance with the internal laws of the State of New York applicable to agreements made and to be performed in said State, and the obligations, rights and remedies of the parties hereunder shall be determined in accordance with such laws.
UGoverning LawU. This Agreement shall be governed and construed in accordance with the laws of the State of NY and the parties do hereby (a) submit to personal jurisdiction in the State of New York for the enforcement of this Agreement, and (b) waive any and all personal rights under the law of any state to object to jurisdiction and venue within the State of New York for the purposes of litigation to enforce this Agreement.
UGoverning LawU. This Agreement shall be deemed to have been drawn in accordance with the statutes and laws of the State of Texas, and all disputes arising from this Agreement shall be resolved in a court of proper jurisdiction in TEXAS.
UGoverning LawU. The laws of the State of California will govern the validity of this Agreement and its interpretation and performance. Any litigation arising in any way from this Agreement shall be brought in Kern County, California.
UGoverning LawU. This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois without regard to any conflict of laws provisions thereof.
UGoverning LawU. This Limited Warranty and the rights of the parties hereunder shall be interpreted in accordance with and governed by the laws of the State of Florida, United States of America, and to the extent controlling over such laws of Florida, the federal laws of the United States of America, without regard to its choice or conflicts of laws rules or principles.
UGoverning LawU. This Agreement shall be governed by and enforceable in accordance with the laws of the State of California, without giving effect to the principles of conflict of laws thereof.
UGoverning LawU. Any dispute arising out of or relating to this CSC Agreement or the breach thereof shall be governed by the laws of the state of the domicile of Purchaser, without regard to or application of choice of law rules or principles.
UGoverning LawU. This agreement is governed in all respects by the laws of the State of Iowa and all obligations are enforceable in accordance with those laws.
