Common use of Underlying Documents Clause in Contracts

Underlying Documents. Any underlying documents listed or described in the Company Disclosure Letter referred to in this Agreement have heretofore been furnished or made available to Parent or its representatives. All such documents furnished to Parent are true and complete copies, and there are no amendments or modifications thereto, except as expressly noted in the Company Disclosure Letter in which such documents are listed or described. The minute books of the Company and each of the Company Subsidiaries contain accurate records of all corporate actions taken by the directors and shareholders of the Company and each of the Company Subsidiaries.
