Undertakings of the Recipient. 3.1 In the context of preparations, the Discloser may disclose Confidential Information to the Recipient. The Recipient agrees to use the Confidential Information solely in connection with purposes contemplated in this Agreement and not to use it for any other purpose or without the prior written consent of the Discloser.
3.2 The Recipient will not disclosure and will keep confidential the information received.
3.3 The Recipient will use the Confidential Information exclusively for the permitted purpose stated in clause 2 and not use the information for its own purposes or benefit.
3.4 The Recipient will not disclose any Confidential Information received to any third parties, except as otherwise provided for herein.
3.5 The Recipient shall treat all Confidential Information with the same degree of care as it accords to its own Confidential Information.
3.6 All Confidential Information disclosed under this Agreement shall be and remain under the property of the Discloser and nothing contained in this Agreement shall be construed as granting or conferring any rights to such Confidential Information on the Recipient. Principally, nothing in this Agreement shall be deemed to grant to the Recipient a licence expressly or by implication under any patent, copyright or other intellectual property right. The Recipient hereby acknowledges and confirms that all the existing and future intellectual property rights related to the Confidential Information are exclusive titles of the Discloser. For the sake of clarity based in good faith, the Recipient will not apply for or obtain any intellectual property protection in respect of the Confidential Information received. Likewise any modifications and improvements thereof by the Recipient shall be the sole property of the Discloser.
3.7 The Recipient shall promptly return or destroy all copies (in whatever form reproduced or stored) of the embodied Confidential Information disclosed under this Agreement and all notes and derivatives related to such Confidential Information, upon the earlier of the completion or termination of the dealings contemplated in this Agreement; the termination of this Agreement; or at the time as the Discloser request it to the Recipient.
3.8 Notwithstanding the foregoing, the Recipient may retain such of its documents as required to comply with mandatory law, provided that such Confidentiality Information or copies thereof shall be subject to an indefinite confidentiality obligation.

Undertakings of the Recipient. 4.1 Subject to Clause 2.1, the Recipient shall maintain the Confidential Information in strict confidence and shall not disclose it to any other person except as provided in Clause 4.4 and Clause 6 below.
4.2 The Recipient shall not use the Confidential Information in whole or in part for any purpose other than the Purpose.
4.3 The Recipient undertakes not to, directly or indirectly discloses, reveal and/or divulge, imply, implicate, suggest and/or insinuate for its own benefit or the benefit of any third party, or misuse or use, the Confidential Information to the detriment of the Disclosing Party or in such a way that the Recipient may at any time obtain commercial advantage over the Disclosing Party.
Undertakings of the Recipient. 2.1. In consideration of NET4U disclosing information relating to the Product to the Recipient, the Recipient hereby undertakes :
2.1.1. to use all Proprietary Information so disclosed exclusively for the purpose of evaluation or any licence granted in respect of the Product, and;
2.1.2. to maintain confidential all Proprietary Information that it may acquire in any manner; and it will accordingly not directly or indirectly use or disclose any of the Proprietary Information in whole or in part save for the purposes of and in accordance with this Agreement.
Undertakings of the Recipient. 2.1 In consideration of the disclosure of Proprietary Information to the Recipient by the Owner under this Agreement the Recipient hereby undertakes:
Undertakings of the Recipient. Each Discloser shall disclose to the Recipient only such of its Confidential Information as the Discloser, in its sole discretion, deems necessary or desirable for the Purpose. The Recipient may, in its sole discretion, refuse to receive any Confidential Information offered to be disclosed by the Discloser. In case an Extended Affiliate of a Party acts as Discloser or Recipient under this Agreement, such Party will ensure that such Extended Affiliate complies with all terms and conditions of this Agreement with respect thereto and will be liable towards the other Party for such compliance. The Recipient hereby agrees, binds and obliges itself that from the Commencement Date and for a period of seven (7) years after the termination of the Agreement according to Clause 7 of this Agreement, it shall: maintain and shall procure that any of its Representatives shall maintain in confidence the Confidential Information of the Discloser; and not, and shall procure that any of its Representatives shall not, publish or disclose nor in any way directly or indirectly permit the disclosure of, the existence, source, content or substance of the Confidential Information of the Discloser to a Third Party other than to the extent a disclosure is permitted by Section 5.1.3; and not, and shall procure that any of its Representatives shall not, use the Confidential Information for any purpose, whether commercial or non-commercial, other than the Purpose; and not, and shall procure that any of its Representatives will not, use, rely upon or duplicate or in any way profit from or take advantage of in any manner the Confidential Information of the Discloser without the prior written consent of the Discloser.

The Recipient and its Representatives shall keep all Confidential Information confidential and neither the Recipient nor any of its Representatives shall disclose any Confidential Information in any manner whatsoever to any other Person except as permitted under Clause5 hereunder.
4.2. The Recipient agrees to make no other use of the Confidential Information or to incorporate any Confidential Information into any work or product, other than as specified herein, except than with the prior written approval of the Company.
4.3. Neither the Recipient nor its Representatives shall disclose to any Person (i) the fact that Confidential Information has been made available to it or its Representatives, (ii) the fact that any discussions or negotiations are taking place between the Parties concerning the Transactions, or

2.1.1 to use all Proprietary Information so disclosed exclusively for the purpose of evaluation or any license granted in respect of the Product, and;
2.1.2 to maintain confidential or Proprietary Information that it may require in any manner; and it will accordingly not directly or indirectly use or disclose any of the Proprietary Information in whole or in part save for the purposes of and in accordance with this Agreement.
Undertakings of the Recipient. In consideration of the Disclosing Party disclosing Confidential Information to the Recipient, the Recipient undertakes to:
2.1 use such Confidential Information, only for the Proper Use;
2.2 keep confidential all Confidential Information that it may acquire in any manner;
2.3 permit access to all Confidential Information only to such of its employees, contracted Associates covered by same NDA and agents as need such Confidential Information for the Proper Use; and inform each of them of the confidential nature of the Confidential Information and of the Recipient’s obligation under this Agreement;
2.4 make copies of the Confidential Information only to the extent strictly necessary for the Proper Use;
2.5 keep the existence, nature, and content of this Agreement and the Project confidential;
2.6 on request of the Disclosing Party, made at any time, deliver to the Disclosing Party or destroy all documents and other material in the possession, custody or control of the Recipient that bear or incorporate any part of the Confidential Information;
