Common use of Underwriting Guidelines Clause in Contracts

Underwriting Guidelines. Without the prior written consent of Buyer, Seller shall not deviate from the Underwriting Guidelines, as in effect from time to time, in connection with its origination of Purchased Mortgage Loans. Seller shall provide Buyer prompt written notice of any material changes to Seller’s then Underwriting Guidelines, including therewith a complete copy of Seller’s updated Underwriting Guidelines and a summary of the changes from the then most recent Underwriting Guidelines.

Underwriting Guidelines. Without the prior written consent of Buyer, Seller shall not deviate from amend or otherwise modify the Underwriting Guidelines. Without limiting the foregoing, in the event that Seller makes any amendment or modification to the Underwriting Guidelines, as in effect from time to time, in connection with its origination of Purchased Mortgage Loans. Seller shall provide promptly deliver to Buyer prompt written notice of any material changes to Seller’s then Underwriting Guidelines, including therewith a complete copy of Seller’s updated Underwriting Guidelines and a summary of the changes from the then most recent amended or modified Underwriting Guidelines.

Without the prior written consent of Buyer, Seller shall not deviate from permit the Servicer to amend or otherwise modify the Underwriting Guidelines in any material respect in any manner that might adversely affect the Mortgage Loans. Without limiting the foregoing, in the event that the Servicer makes any amendment or modification to the Underwriting Guidelines, as in effect from time to time, in connection with its origination of Purchased Mortgage Loans. Seller shall provide promptly deliver to Buyer prompt written notice of any material changes to Seller’s then Underwriting Guidelines, including therewith a complete copy of Seller’s updated Underwriting Guidelines and a summary of the changes from the then most recent amended or modified Underwriting Guidelines.

Without limiting the foregoing, in the event that any Seller makes any amendment or modification to the Underwriting Guidelines, as in effect from time to time, in connection with its origination of Purchased Mortgage Loans. such Seller shall provide promptly deliver to Buyer prompt written notice of any material changes to Seller’s then Underwriting Guidelines, including therewith a complete copy of Seller’s updated Underwriting Guidelines and a summary of the changes from the then most recent amended or modified Underwriting Guidelines.

Without the prior written consent of Buyer, Seller shall not deviate from amend or otherwise modify or permit the amendment or modification of the Underwriting Guidelines in any material respect. Without limiting the foregoing, in the event that Seller makes any amendment or modification to the Underwriting Guidelines, as in effect from time to time, in connection with its origination of Purchased Mortgage Loans. Seller shall provide promptly deliver to Buyer prompt written notice of any material changes to Seller’s then Underwriting Guidelines, including therewith a complete copy of Seller’s updated the amended or modified Underwriting Guidelines Guidelines, specifying in detail the amendments and a summary of the changes modifications set forth therein from the then most recent Underwriting Guidelinesprevious copy delivered.

Without the prior written consent of Buyer, Seller the Sellers shall not deviate from amend or otherwise modify the Underwriting Guidelines with respect to any Mortgage Loans that are Purchased Mortgage Loans. Without limiting the foregoing, in the event that the Sellers make any amendment or modification to the Underwriting Guidelines, as in effect from time the Sellers shall promptly deliver to time, in connection with its origination of Purchased Mortgage Loans. Seller shall provide Buyer prompt written notice of any material changes to Seller’s then Underwriting Guidelines, including therewith a complete copy of Seller’s updated Underwriting Guidelines and a summary of the changes from the then most recent amended or modified Underwriting Guidelines.

Without the prior written consent of Buyer, Seller shall not deviate from (i) amend, permit the amendment of or otherwise modify or permit the modification of the Underwriting Guidelines. Without limiting the foregoing, in the event that Seller makes any amendment or modification to the Underwriting Guidelines, as in effect from time to time, in connection with its origination of Purchased Mortgage Loans. Seller shall provide promptly deliver to Buyer prompt written notice of any material changes to Seller’s then Underwriting Guidelines, including therewith a complete copy of Seller’s updated the amended or modified such Underwriting Guidelines; provided that, for the avoidance of doubt, that Buyer will not purchase any Mortgage Loans originated pursuant to Underwriting Guidelines and a summary of the changes from the then most recent Underwriting Guidelinesthat have not been approved by Buyer.

Underwriting Guidelines. Without the prior written consent of Buyer, Seller shall not deviate from amend or otherwise modify the Underwriting Guidelines except to the extent required by changes to Agency Guidelines and Requirements of Law. Without limiting the foregoing, in the event that Seller makes any amendment or modification to the Underwriting Guidelines, as in effect from time to time, in connection with its origination of Purchased Mortgage Loans. Seller shall provide promptly deliver to Buyer prompt written notice of any material changes to Seller’s then Underwriting Guidelines, including therewith a complete copy of Seller’s updated Underwriting Guidelines and a summary of the changes from the then most recent amended or modified Underwriting Guidelines.

Underwriting Guidelines. Without the prior written consent of Buyer, Seller shall not deviate from materially amend or otherwise modify the Underwriting Guidelines except to the extent required by changes to Agency Guidelines and Requirements of Law. Seller shall (i) provide notice to Buyer prompt written notice within five (5) Business Days of any material changes to Seller’s then Underwriting Guidelines, including therewith such amendment or modification and (ii) deliver a complete copy of Seller’s updated the amended or modified Underwriting Guidelines and a summary of the changes from the then most recent Underwriting Guidelinesto Buyer in connection with such notice.

Without limiting the foregoing, in the event that a Seller makes any amendment or modification to the Underwriting Guidelines, as in effect from time to time, in connection with its origination of Purchased Mortgage Loans. such Seller shall provide promptly deliver to Buyer prompt written notice of any material changes to Seller’s then Underwriting Guidelines, including therewith a complete copy of Seller’s updated Underwriting Guidelines and a summary of the changes from the then most recent amended or modified Underwriting Guidelines.

Seller shall provide promptly deliver to Buyer prompt written notice of any material changes to Seller’s then Underwriting Guidelines, including therewith a complete copy of Seller’s updated Underwriting Guidelines and a summary of the changes from the then most recent amended or modified Underwriting Guidelines.
