Except as disclosed in the Time of Sale Prospectus, the Company has not received notice, and has no knowledge, of any pending or threatened claim, suit, proceeding, hearing, enforcement, audit, investigation, arbitration or other action from the Applicable Jurisdictions alleging that any operation or activity of the Company is in violation of any applicable law, rule or regulation that would, individually or in the aggregate, reasonably be expected to result in a Material Adverse Change.
Any provision of this Agreement or any other Loan Document that is held to be illegal, invalid, or unenforceable in a particular Applicable Jurisdiction shall remain valid and enforceable in all other Applicable Jurisdictions.
