Use by Customer. (a) Supplier hereby grants to Customer a non-exclusive and non-assignable, limited right for the Call-Off Agreement Period, to do any of the following:
(i) access and use the Platform and Documentation for the purposes specified in this Call-Off Agreement; and
(ii) copy the Supplier Material and Artefacts for distribution only to Customer’s employees who are authorised users of Platform under this Call-Off Agreement, and to such other persons as Customer and Supplier may agree in order for the Customer to conduct Projects using the Platform.
(b) Customer shall not, except in the circumstances required to be permitted by applicable law,
(i) copy, modify, alter, disassemble, decompile, translate or convert into human readable form, or reverse engineer, all or any part of the Platform;
(ii) use the Platform, Artefacts or Supplier Material to develop any derivative works, modifications or any functionally compatible or competitive software or service;
(iii) attempt to reuse Artefacts or Supplier Material for purposes outside of those contracted for the Call-Off Agreement Period;
(iv) have access, use or have any rights to the object or source code of Platform, nor shall Customer attempt to obtain such object or source code;
(v) Remove or make less conspicuous any copyright or other proprietary rights notices on any label of disks or other storage media containing any Supplier Material or displayed on the screen of the user during the set-up and start-up routines of the Platform.
(c) Customer may not:
(i) offer, for a fee or free of charge, services to any third party consisting of the processing of data through the Platform unless the same is expressly permitted in the Order Form;
(ii) sell, lease, rent, license, sub-license, transfer, market, distribute, redistribute, or otherwise part with the access to the Platform, Artefacts or Supplier Material or any copies of the forgoing, in any manner or in any form not permitted by this Call-Off Agreement.
Use by Customer. Hosted Services and Confidential Information of NAVITAIRE are for the sole and exclusive use of Customer and excludes any Affiliates of Customer ***** Customer may, however, permit agents hired by Customer or Customer’s subcontractors to access the Hosted Services solely for the purpose of procuring Hosted Services for and on behalf of Customer; provided that ***** (a) Customer promptly provides NAVITAIRE with the names of each such agent; and (b) each such agent agrees to be bound by: ***** confidentiality provisions ***** Section 9, ***** hereof. Customer may not transfer any Confidential Information of NAVITAIRE, in any form whatsoever, to any other third party or allow any third party to access or use the Hosted Services or Confidential Information of NAVITAIRE without the prior written consent of NAVITAIRE. Any transfer of or access to the Hosted Services or Confidential Information of NAVITAIRE in violation of this Section shall constitute a material breach of this Agreement. For purposes of reference, Section 7 contains further terms and conditions regarding Customer’s use of the Hosted Services System.
Use by Customer. (a) Customer has inspected the equipment and finds it to be in good condition and suitable for his needs.
(b) Customer will permit the equipment to be used only for the proper sanitation purposes for which it was intended.
(c) Customer will make no alterations or attachments to the equipment.
(d) Customer has chosen the location for installing the equipment and accepts all responsibility in connection with that choice of location.
(e) Customer will give Crescent Moon free access to the equipment at all times over suitable pavement or other driving surface, and will make the equipment available for servicing or maintaining at ground level without hazard to Crescent Moon agents, employees, or equipment.
(f) Customer will notify Crescent Moon immediately and discontinue use if the equipment becomes unsafe or in disrepair for any reason.
(g) Customer will not permit the equipment to become subject to any lien, charge or encumbrance.
Use by Customer. Hosted Services and Confidential Information of NAVITAIRE are for the sole and exclusive use of Customer. Customer may, however, permit agents hired by Customer or Customer’s subcontractors and their employees to access the Hosted Services solely for the purpose of procuring Hosted Services for and on behalf of Customer; provided that: (a) Customer will be responsible for ensuring such agents and subcontractors comply with the terms hereof, including confidentiality obligations; and (b) such agents and subcontractors are not competitors of NAVITAIRE, it being acknowledged that Customer may reveal a mutually agreed redacted copy of this Agreement to such agents as reasonably required in connection with the foregoing. From time to time, at NAVITAIRE’s request, Customer shall provide a list of the entities to which such access has been provided and Customer will respond to each such request within fifteen (15) days. Customer will cooperate with NAVITAIRE in investigating any alleged misuse of the Hosted Services. Customer may not transfer any Confidential Information of NAVITAIRE, in any form whatsoever without the prior written consent of NAVITAIRE, except as reasonably required to use the Hosted Service as permitted under the foregoing, provided that in no event may Confidential information be shared with direct competitors of NAVITAIRE. Any transfer of or access to the Hosted Services or Confidential Information of NAVITAIRE in violation of this Section shall constitute a material breach of this Agreement. For purposes of reference, Section 7 contains further terms and conditions regarding Customer’s use of the Hosted Services System.
Use by Customer a. Customer hereby represents and warrants that Customer (i) is a qualified Uniform Intermodal Interchange Agreement (“UIIA”) signatory in good standing under the UIIA, (ii) shall comply with the terms of the UIIA, and (iii) shall comply with such other reasonable requirements Milestone customarily imposes on its customers relating to the use of its Pool chassis. Customer shall give Milestone immediate written notice if Customer is no longer a qualified UIIA signatory in good standing under the UIIA.
b. Customer shall have the right to use each Chassis in accordance with this Agreement during the Rental Term so long as no Event of Default (defined in Section 12) has occurred. Customer be responsible for supervising, directing and controlling the activities of all Customer Representatives during the Rental Term, and Customer shall have sole responsibility with respect to them and shall be responsible for their compliance with or breach of the terms and conditions of this Agreement.
c. Customer shall not use the Chassis to transport tank containers or overweight containers, and Customer shall not transport, load or store on any Chassis hazardous materials, medical wastes, hazardous wastes, radioactive materials, or explosives or unprotected corrosive substances, high density poorly secured materials or bulk commodities which may corrode, oxidize, severely dent, puncture, contaminate, stain or damage the Chassis. Customer shall be strictly liable for any resulting personal injuries and/or property damage and all related claims and damages and expenses, including, but not limited to damage to any Chassis, and Customer shall, to the fullest extent of the law, indemnify, defend and hold Milestone harmless from all such claims and damages. If Milestone determines that Customer has used any Chassis for such purposes, in addition to Milestone's rights and remedies pursuant to this Section 7(c) and Sections 12 and 13, Customer shall, at Milestone's sole discretion, restore such Chassis in accordance with this this Section 7(c) and Section 5 or purchase such Chassis at its Casualty Value.
d. Customer represents that the Chassis will be used only in the continental United States. Customer hereby agrees that, if requested by Xxxxxxxxx, Customer shall immediately report the exact location of the Chassis to Milestone and the date that Customer expects to return the Chassis to Milestone.
Use by Customer. The Host Reservation Services and associated Materials and information provided to Customer as part of this Agreement are for the sole and exclusive use of Customer. Customer may, however, permit agents hired by Customer or Customer's subcontractors to access the Host Reservation Services solely for the purpose of procuring reservation services for and on behalf of Customer; provided that: (i) Customer promptly provides OPEN SKIES the names of each such agent and (ii) each such agent agrees to be bound by the terms and conditions of this Agreement including, but not limited to, the confidentiality provisions of Section 9. Customer may not transfer any Material or information, in any form whatsoever, to any other third party nor allow any third party to access or use the Host Reservation Services or such Material or information without the prior written consent of OPEN SKIES. Such transfer of or access to the Host Reservation Services or Material or information shall constitute a material breach of this Agreement.
Use by Customer. Google will provide the Services to Customer by (a) providing access to an Instance for the Looker Hosted Deployment or (b) providing a license key for the Customer Hosted Deployment. Customer may only use the Services with databases and servers licensed and/or owned by Customer. Customer may configure the Services subject to the Scope of Use and related Deployment Attributes defined by Google.
Use by Customer. Subject to all of the terms and conditions of this Agreement (including any applicable Order(s)), and any and all exhibits and policies that are referenced by the foregoing, Headset grants Customer a non-exclusive, non-transferable, non-sublicensable right and license during the applicable Subscription Term to access and use the following solely (except as may otherwise be provided in a given Order) for Customer’s internal business purposes only in accordance with this Agreement (including without limitation any Order) and the Documentation: (i) the Headset Service(s) designated on Customer’s Order(s), (ii) the data that Headset makes available to Customer through the Headset Service(s) designated on Customer’s Order(s) (“Licensed Data”), and (iii) the Data Derivatives that Headset makes available to Customer through the Headset Service(s) designated on Customer’s Order(s).
Use by Customer. Customer acknowledges and agrees that Customer may use the Hosting Services only for its internal operations and for providing services to its customers. Customer shall not have the right to use the Hosting Services to provide services to third parties other than its customers under the terms of this Agreement. With respect to each Software Application, (i) Customer explicitly grants to ER Tech Pros the right to share Customer’s license information, including all license-related keys and numbers, payroll keys and numbers, and number of users subscribed with ER Tech Pros, with the applicable software vendor for verification and tracking purposes, (ii) Customer agrees that the applicable software vendor is not a party to this Agreement and that such software vendor disclaims any liability for the Hosting Services and provides no warranty whatsoever, and (iii) such software vendor is responsible solely for the Software Application itself, and not for the Hosting Services, nor any other product or service offered by ER Tech Pros directly or through third parties.
Use by Customer. Looker will provide the Services to Customer by (a) providing access to an Instance for the Looker Hosted Deployment or (b) providing a license key for the Customer Hosted Deployment. Customer may only use the Services with databases and servers licensed and/or owned by Customer. Customer may configure the Services subject to the defined Scope of Use and related Deployment Attributes described in the Order Form.
