Use of 99-Year Fee. Licensee acknowledges that Licensor intends to use the 99- Year Fee to pay for a portion of the purchase price and other costs and expenses incurred in connection with Licensor’s acquisition of the Property in accordance with the Master Purchase Agreement. Licensee hereby authorizes and instructs Xxxxxx, at the request and direction of Licensor, to transfer on the Master Closing Date all (or any portion) of the 99-Year Fee to the Master Escrow Account and to close the Licensee Escrow Account concurrently therewith. Licensee shall cooperate with Licensor and Escrow, and execute and deliver any additional documentation Escrow or Licensor may request, to facilitate or confirm the foregoing.

Licensee hereby authorizes and instructs Xxxxxx, at the request and direction of Licensor, to transfer on the Closing Date all (or any portion) of the 99-Year Fee to the Master Escrow Account and to close the Licensee Escrow Account concurrently therewith. Licensee shall cooperate with Licensor and Escrow, and execute and deliver any additional documentation Escrow or Licensor may request, to facilitate or confirm the foregoing.

  • PAYMENT OF REFERRAL FEE For each Referred Client, Recipient Broker/Agent shall pay Xxxx.xxx 35% of the gross compensation earned on the referred side in connection with the sale and purchase of real property by such Referred Client if closing occurs within 18 months after the date Xxxx.xxx identified via the monthly report, agent portal and/or placed such Referred Client to Recipient Agent, and the property closed with Recipient Agent (a “Referral Fee”). In the event Recipient Broker/Agent provides the Referred Clients information to another Agent in the brokerage and the Referred Client closes with that Agent, a Referral Fee will be due and that agent shall also be considered a Recipient Agent for the purposes of this Agreement. In the event the Recipient Broker/Agent is an active client of XXXX.xxx’s “Guaranteed Display” featured agent program at the time of the property closing, the applicable referral will be 30%. Recipient Broker/Agent shall either (i) direct the escrow/closing agent to pay the Referral Fee to Xxxx.xxx at closing or (ii) pay the Referral Fee directly to Xxxx.xxx within 15 calendar days of closing.

  • Annual Maintenance Fee In consideration of the license granted to Licensee under Section 2.1, Licensee shall pay Licensor on-going annual maintenance fees of **** on each anniversary of the Effective Date.

  • Non-Use Fee The Company agrees to pay to the Administrative Agent for the account of each Lender a non-use fee, for the period from the Closing Date to the Termination Date, at the Non-Use Fee Rate in effect from time to time of such Lender’s Pro Rata Share (as adjusted from time to time) of the unused amount of the Revolving Commitment. For purposes of calculating usage under this Section, the Revolving Commitment shall be deemed used to the extent of Revolving Outstandings. The non-use fee shall be computed for the actual number of days elapsed on the basis of a year of 360 days.

  • License Fee The Licensee to shall make payment of the License Fee to Licensor on the date of this Agreement. All rights granted to Licensee by Producer in the Beat are conditional upon Licensee’s timely payment of the License Fee. The License Fee is a one-time payment for the rights granted to Licensee and this Agreement is not valid until the License Fee has been paid.

  • Early Termination Fee After this contract goes into effect, if you terminate this contract for any reason, or switch your service to a different electricity generation supplier or default service supplier prior to the end of the contract term, you will be responsible for paying XOOM Energy an early termination fee in the amount of $500. This Early Termination Fee is intended not as a penalty, but simply to offset the cost of selling the unused portion of your electric power to others and estimated lost revenue that XOOM may incur from such a sale, if any, and related expenses.
