Use of General Knowledge Sample Clauses

Use of General Knowledge. Subject to the terms and conditions of this Agreement, the Parties agree that insightsoftware may use general ideas, concepts, know-how, methodologies, processes, technologies, algorithms or techniques which were developed or created in the course of performing the Services hereunder and which may be retained in the memory of insightsoftware’s personnel.

Use of General Knowledge. Nothing in this Agreement shall be construed to limit either Party’s right to independently develop or acquire products without use of either Party’s Confidential Information or Retained Technology either for itself or for other Clients. Further, either Party shall be free to use for any purpose the general knowledge resulting from access to or work with such Confidential Information or Retained Technology, provided that each Party shall maintain the confidentiality of such Confidential Information as provided herein. The term “general knowledge” means information in non-tangible form, which may be retained in the unaided memory of any person who has had access to the Confidential Information or Retained Technology, including ideas, concepts, know-how or techniques contained therein. This Section 4.5 shall not be deemed to grant GlobalLogic a license under the Client’s copyrights or patents.

  • No Knowledge The Company has no knowledge of any event which would be more likely than not to have the effect of causing such Registration Statement to be suspended or otherwise ineffective.

  • Residual Knowledge Nothing contained in this Agreement shall restrict either Party from the use of any ideas, concepts, know-how, methodologies, processes, technologies, algorithms or techniques relating to the Services that either Party, individually or jointly, develops or discloses under this Agreement, provided that in doing so such Party does not breach its obligations under this Article or infringe the intellectual property rights of the other Party or third parties who have licensed or provided materials to such Party.

  • Full Knowledge By their signatures, the parties acknowledge that they have carefully read and fully understand the terms and conditions of this Agreement, that each party has had the benefit of counsel, or has been advised to obtain counsel, and that each party has freely agreed to be bound by the terms and conditions of this Agreement.
