Retained Technology definition

Retained Technology means all Technology owned or licensed by Parent or any other member of the Parent Group primarily used or primarily held for use in the Retained Business.
Retained Technology means all Technology owned or Licensable by AMD or any of its Affiliates (other than the Transferred Technology) that is used in, necessary for or primarily related to the Business or the Past Products, any Current Business Product, Roadmap Product or any Functional Block. “Retained Technology” includes the Technology specifically listed on Exhibit B. For the avoidance of doubt, “Retained Technology” does not include, except as specifically listed on Exhibit B, (w) any of AMD’s proprietary semiconductor manufacturing Technology; (x) any of the AMD Technology licensed under the IP Core License Agreement; (y) except as licensed under the IP Core License Agreement, any IP core, processor or product that operates as a [****] for use in [****]; or (z) any processor core or product that (A) is able to execute the object code of any AMD Processor, (B) substantially utilizes the instruction set of any AMD Processor, (C) has a programmer’s model that is substantially compatible with the programmer’s model of any AMD Processor, or (D) is a chipset (Northbridge/Southbridge) for use with any AMD Processor.
Retained Technology means any and all Transferred Technology used, or held for use in, or necessary for the operation of, the Retained Business.

More Definitions of Retained Technology

Retained Technology means Technology that: (a) is owned by, or licensed to, any Marconi Entity and is licensable to the Purchaser and its Affiliates by any Marconi Entity; (b) is used in the Access Business as presently conducted by the Seller; and (c) is not Transferred Technology; provided, however, that Retained Technology does not include the Technology in Schedule 1.25 of the Cross License Agreement.
Retained Technology means any and all Technology (which may include copies of certain Transferred Technology to the extent that such copies are being used in the ordinary course in the Retained Business as of the Closing) used, or held for use in, in the possession of, or necessary for the operation of the Retained Business, including any know-how or knowledge of any employees of the Retained Business, and the Technology set forth on Section 1.1(i)(ii) of the Seller Disclosure Schedules; provided that Retained Technology shall not include Business Products as such.
Retained Technology means all patents, patent applications, Inventions, trade secrets, Know-How or documentation owned or controlled by The Foundry, but excluding the Assigned Patents and Assigned Technology, as of the Effective Date or developed by or for The Foundry on or before November 9th, 2009, wherein use of such patents, patent applications, Inventions, trade secrets, Know-How or documentation is reasonably necessary for the practice of any service, process, product or method which is in Miramar’s Field and is covered by or described in the Assigned Patents or Assigned Technology. Retained Technology shall further include any patents or patent applications assigned to The Foundry pursuant to Section 5.3.
Retained Technology means any and all Technology used in or held for use in the operation of the Retained Business, including any know-how or knowledge of any employees of the Retained Business.

Retained Technology means all NXP Intellectual Property (other than Patents) that (a) NXP or any of its Affiliates owns (after the assignment of the Transferred IP to Dutch Newco) or controls (in the sense of having the right to grant licenses or sublicenses thereunder of or within the scope granted herein and without requiring payment of royalties or other consideration by NXP or any of its Subsidiaries to an unaffiliated third party, unless Dutch Newco agrees to and satisfies such payments obligations) as of the Closing Date, and (b) is used in connection with the development, manufacture, test, packaging, process architecture and know-how, reproduction, distribution, modification, adaptation, display, performance, use, offer for sale or sale of the Company Products prior to or as of the Closing Date. Retained Technology includes, without limitation, the Licensed NXP IP.
Retained Technology means any and all Technology owned by, or licensed to, the Asset Sellers or any of their Affiliates (other than any of the Business Subsidiaries) on or before the Closing Date; provided, however, that Retained Technology does not include Business Technology.
