Common use of Use of Parking Passes Clause in Contracts

Use of Parking Passes. Tenant’s continued right to use the Parking Passes is conditioned upon Tenant abiding by all rules and regulations which are prescribed from time to time for the orderly operation and use of the Parking Facilities, including any sticker or other identification system established by Landlord, and Tenant’s cooperation in seeing that Tenant’s employees and visitors also comply with such rules and regulations. Landlord specifically reserves the right to change the size, configuration, design, layout and all other aspects of the Parking Facilities at any time and Tenant acknowledges and agrees that Landlord may, without incurring any liability to Tenant and without any abatement of Rent under this Lease, from time to time, temporarily close-off or restrict access to the Parking Facilities for purposes of permitting or facilitating any such construction, alteration or improvements; provided, however, that Landlord will use reasonable efforts to provide Tenant with reasonable advance notice of any such anticipated temporary close-off or restriction in access to the Parking Facilities. Landlord may delegate its responsibilities hereunder to a parking operator in which case such parking operator shall have all the rights of control attributed hereby to the Landlord. The Parking Passes rented by Tenant pursuant to this Article 28 are provided to Tenant solely for use by Tenant’s own personnel and such passes may not be transferred, assigned, subleased or otherwise alienated by Tenant, except in connection with a Transfer of the Premises pursuant to Article 14 of this Lease or as relates to the Subleased Parking Passes, without Landlord’s prior approval. Tenant may validate visitor parking by such method or methods as the Landlord may establish, at the validation rate from time to time generally applicable to visitor parking. Tenant’s use of the Parking Facilities are on a non-exclusive basis.

Landlord specifically reserves the right to change the size, configuration, design, layout and all other aspects of regulations set forth in the Parking Facilities at Manual. Prior to finalizing or amending the rules and regulations set forth in the Parking Manual (the “Parking Manual Modifications”) (excluding any time rules and Tenant acknowledges and agrees that Landlord mayregulations (i) required by Applicable Laws, without incurring any liability to Tenant and without any abatement (ii) otherwise required in accordance with the TCCs of Rent under this Lease, from or (iii) reasonably necessary to address an emergency circumstance or Casualty), (a) Landlord shall provide ten (10) business days’ advance written notice to Tenant identifying, in reasonable detail, the proposed rule and regulation (or modification thereto) and the reason for the same, (b) Landlord shall at Tenant’s election, meet with Tenant at a commercially reasonable, mutually agreed upon time during the ten (10) business day period before the commencement of the effectiveness of the rule and regulation (or modification thereto) to timediscuss the same, temporarily close-off or restrict access (c) consider in good faith any reasonable objections of Tenant to the rule and regulation (or modification thereto) by Tenant, whether such objection is made in writing during such ten (10) business day period or at the aforementioned meeting. In addition, except as may be required by items (i) through (iii) above, Landlord shall not implement any Parking Facilities for purposes Manual Modifications that would materially and adversely affect Tenant’s rights and Landlord’s obligations under this Article 28, without first obtaining Tenant’s prior written consent, which consent shall not be unreasonably withheld, conditioned or delayed, and shall be granted or withheld within ten (10) business days of permitting or facilitating any such constructionLandlord’s request. Any Parking Manual Modifications entered into without Tenant’s consent, alteration or improvements; providedin violation of the foregoing sentence, however, that Landlord will use reasonable efforts to provide Tenant with reasonable advance notice of any such anticipated temporary close-off or restriction in access to the Parking Facilities. Landlord may delegate its responsibilities hereunder to a parking operator in which case such parking operator shall have all the rights of control attributed hereby to the Landlordnot be binding on Tenant. The Parking Passes rented by Tenant pursuant to this Article 28 are provided to Tenant solely for use by Tenant’s own personnel and such passes may not be transferred, assigned, subleased or otherwise alienated by TenantTenant without Landlord’s prior approval, except on a pro-rata basis in connection with a Transfer of the Premises pursuant to Article 14 of this Lease which Landlord has consented or as relates to the Subleased Parking Passes, without for which Landlord’s prior approval. Tenant may validate visitor parking by such method or methods as the Landlord may establish, at the validation rate from time to time generally applicable to visitor parking. Tenant’s use of the Parking Facilities are on a non-exclusive basisconsent is not required.
