Common use of USE OF SOLUTION Clause in Contracts

USE OF SOLUTION. (a) End Clients must, and must ensure that all Users, comply with this agreement at all times. (b) An End Client must not, and must not encourage or permit any User, Personnel or any third party to, without Devicie’s prior written approval: (i) share their account information, including log in details or passwords, with any other person and that any use of an account by any person who is not the account holder is strictly prohibited; (ii) use the Solution for any purpose other than the Purpose, including not using the Solution in a manner that is illegal or fraudulent or facilitates illegal or fraudulent activity; (iii) use the Solution in a way which infringes the Intellectual Property Rights of Devicie or any third party; (iv) make copies of the Documentation or the Solution; (v) adapt, modify or tamper in any way with the Solution; (vi) remove or alter any copyright, trade mark or other notice on or forming part of the Solution or Documentation; (vii) create derivative works from or translate the Solution or Documentation; (viii) publish or otherwise communicate the Solution or Documentation to the public, including by making it available online or sharing it with third parties; (ix) sell, loan, transfer, sub-licence, hire or otherwise dispose of the Solution or Documentation to any third party, except in the course of granting a sub-licence to an End Client’s Personnel in the ordinary course of using the Solution; (x) decompile or reverse engineer the Solution or any part of it, or otherwise attempt to derive its source code; (xi) attempt to circumvent any technological protection mechanism or other security feature of the Solution; or (xii) breach any applicable Laws (including any applicable privacy laws) in using the Solution. (c) End Clients acknowledge and agree: (i) that Devicie will have no liability for any act of a User for damage, loss or expense suffered by an End Client or a User in connection with the use of the Solution and will indemnify Devicie for any such damage, loss or expense; and (ii) to notify Device without delay whenever it becomes aware of any case of a breach of this clause 6 or otherwise any illegal or unauthorised use of the Solution.

USE OF SOLUTION. (a) End Clients The Client must, and must ensure that all Users, comply with this agreement at all times. (c) The Client must not, and must not encourage or permit any User, Personnel or any third party to, without Devicie’s prior written approval: (i) share their account information, including log in details or passwords, with any other person and that any use of an account by any person who is not the account holder is strictly prohibited; (ii) use the Solution for any purpose other than for the Purposepurpose for which it was designed, including not using the Solution in a manner that is illegal or fraudulent or facilitates illegal or fraudulent activity; (iii) use the Solution in a way which infringes the Intellectual Property Rights of Devicie or any third party; (iv) make copies of the Documentation or the Solution; (v) adapt, modify or tamper in any way with the Solution; (vi) remove or alter any copyright, trade mark or other notice on or forming part of the Solution or Documentation; (vii) create derivative works from or translate the Solution or Documentation; (viii) publish or otherwise communicate the Solution or Documentation to the public, including by making it available online or sharing it with third parties; (ix) sell, loan, transfer, sub-licence, hire or otherwise dispose of the Solution or Documentation to any third party, except in the course of granting a sub-licence to an End the Client’s Personnel in the ordinary course of using the Solution; (x) decompile or reverse engineer the Solution or any part of it, or otherwise attempt to derive its source code; (xi) attempt to circumvent any technological protection mechanism or other security feature of the Solution; or (xii) breach any applicable Laws (including any applicable privacy laws) in using the Solution. (cd) End Clients acknowledge The Client acknowledges and agreeagrees: (i) that Devicie will have no liability for any act of a User for damage, loss or expense suffered by an End the Client or a User in connection with the use of the Solution and will indemnify Devicie for any such damage, loss or expense; and (ii) to notify Device without delay whenever it becomes aware of any case of a breach of this clause 6 7 or otherwise any illegal or unauthorised use of the Solution.

(b) An End The Client must not, and must not encourage or permit any User, Personnel User or any third party to, without DevicieCrewmojo’s prior written approval: (ia) share their account informationupload any harmful, including log in details discriminatory, defamatory, maliciously false implications, offensive, explicit, inappropriate, offensive, illicit, illegal, pornographic, sexist, homophobic or passwords, with any other person and that any use of an account by any person who is not racist material to the account holder is strictly prohibitedSoftware; (iib) use the Solution for upload any purpose other than the Purpose, including not using the Solution in a manner material that is illegal owned or fraudulent or facilitates illegal or fraudulent activity; (iii) use the Solution in copyrighted by a way which infringes the Intellectual Property Rights of Devicie or any third party; (ivc) make copies of the Documentation or the SolutionSoftware; (vd) adapt, modify or tamper in any way with the SolutionSoftware; (vie) remove or alter any copyright, trade mark or other notice on or forming part of the Solution Software or Documentation; (viif) create derivative works from from, translate or translate reproduce the Solution Software or Documentation; (viiig) publish or otherwise communicate the Solution Software or Documentation to the public, including by making it available online or sharing it with third parties; (ixh) sell, loan, transfer, sub-licence, hire or otherwise dispose of the Solution Software or Documentation to any third party, except in the course of granting a other than sub-licence licensing to an End Client’s Personnel in a Licensed User for the ordinary course Number of using the SolutionLicensed Users; (xi) decompile or reverse engineer the Solution Software or any part of it, or otherwise attempt to derive its source code; (xij) attempt to circumvent any technological protection mechanism or other security feature of the Solution; orSoftware; (xiik) breach permit any applicable Laws (including any applicable privacy laws) in using person other than Licensed Users to use or access the Solution.Software or Documentation; (cl) End Clients acknowledge and agree: (i) that Devicie will have no liability for intimidate, harass, impersonate, stalk, threaten, bully or endanger any act other user of a User for damagethe Software or distribute unsolicited commercial content, loss junk mail, spam, bulk content or expense suffered by an End Client or a User harassment in connection with the Solution; (m) share its Software account information with any other person and that any use of the Solution and will indemnify Devicie for its account by any such damageother person is strictly prohibited. The Client, loss or expense; and (ii) to must immediately notify Device without delay whenever it becomes aware Crewmojo of any case of a breach of this clause 6 or otherwise any illegal or unauthorised use of it or its User’s account or password, or any other breach or potential breach of the Software’s security; (n) use the Software for any purpose other than for the purpose for which it was designed, such as not using the Software in a manner that is illegal or fraudulent or facilitates illegal or fraudulent activity; nor (o) act in any way that may harm Crewmojo’s reputation or that of associated or interested parties or do anything at all contrary to the interests of Crewmojo or the Solution.

The Client, loss or expense; and (ii) to must immediately notify Device without delay whenever it becomes aware Crewmojo of any case of a breach of this clause 6 or otherwise any illegal or unauthorised use of it or itsaccUousnte, pras’swsord or email, or any other breach or potential breach of the Software’s security; (n) use the Software for any purpose other than for the purpose for which it was designed, such as not using the Software in a manner that is illegal or fraudulent or facilitates illegal or fraudulent activity; nor (o) act in any way that may harm Crewmorejpuota’tiosn or that of associated or interested parties or do anything at all contrary to the interests of Crewmojo or the Solution.
