Use of the Cloud Services. 5.1 In order to access and use the Cloud Services, Customer must use compatible hardware and other software, including without limitation, computers, operating systems and internet browsers, all as identified in the Documentation. 5.2 Customer is responsible for: (a) identifying and authenticating all Authorized Users, (b) properly configuring, distributing and governing access rights to the Cloud Services by Authorized Users; (c) maintaining the security and confidentiality of usernames, passwords and other account or access information to prevent unauthorized access to the Cloud Services; (d) the confidentiality and timely and proper termination of Authorized User records in Customer’s local identity infrastructure or on Customer’s local computers and within the Cloud Services; (e) providing Prophix with all information, access and full good faith cooperation reasonably necessary to enable Prophix to provide the Cloud Services; (f) its own legal and regulatory compliance in connection with its use of the Cloud Services. Customer is responsible for making Prophix aware of any requirements that result from Customer’s legal and regulatory obligations prior to entering into the Agreement. Prophix will cooperate with Customer’s efforts to determine whether use of the standard Cloud Services offering is consistent with those requirements. 5.3 Prophix reserves the right at its sole discretion to upgrade or otherwise modify the Cloud Services from time to time. 5.4 Prophix will provide the Cloud Services in accordance with the service levels set out in Appendix 1Service Level Terms.

Use of the Cloud Services. 7.1 To use the Cloud Services Your Catalyst account manager must create a Catalyst Cloud account for You. You are responsible for maintaining the security of Your access credentials and for all activities undertaken under Your account. We are not responsible for any unauthorised access to Your account. You must contact Us immediately if You believe Your credentials have been compromised, stolen or lost.
Use of the Cloud Services. 3.1 The Supplier hereby grants the Customer a personal, non-transferable, non-exclusive licence to the Cloud Services during the Test Drive Period solely for the purposes of the Supplier carrying out the test Drive Analysis. The Client acknowledges and agrees that the Cloud Services will automatically end and cease to operate at the end of the Trial Period. 3.2 The Supplier shall use reasonable endeavours to: 3.2.1 commence the Tests on the Test Drive Start Date; 3.2.2 carry out the Test Drive Analysis based on the Use Cases using the Customer Content during the Test Drive Period; and 3.2.3 prepare or present the report as detailed in the Scope of Work on completion of the Test Drive Analysis in each case subject to the terms of this Agreement and timely fulfilment of the Customer Dependencies by the Customer and the Assumptions. 3.3 Save for death and personal injury caused by the Supplier’s negligence, the Supplier shall have no liability of any kind in any circumstances whatever to the Customer in respect of the Cloud Services or Customer Content. In particular, the Supplier shall have no liability in any circumstances whatever for any data loss or corruption and the Client agrees that it has sole responsibility for protecting back- up copies of the Customer Content during the Tests. 3.4 No representations. conditions, warranties or other terms of any kind are given in respect of the Software or the Information, and all statutory warranties and conditions are excluded to the fullest extent possible.
Use of the Cloud Services. 3.1 iGrafx’s Responsibilities. iGrafx will use commercially reasonable efforts to make the Cloud Services available 24 hours a day, 7 days a week with an uptime of 99.95%, except for: (a) planned downtime (of which iGrafx shall give at least 8 hours’ notice and which iGrafx shall schedule to the extent practicable after 6:00 p.m. Customer’s local time, (b) outages at our hosted service provider, or (c) any Force Majeure event,iGrafx willprovide the Cloud Services in accordance with applicable laws and government regulations. If Customer has purchased a current Technical Support plan for the Cloud Services, provide Technical Support pursuant to the relevant plan.
Use of the Cloud Services. 8.1 You will not, and will not permit or authorize others to, use the Cloud Services for any of the following: (i) to violate Law; (ii) to transmit Malicious Code; (iii) to transmit 911 or any emergency services (or reconfigure to support or provide such use); (iv) to interfere with, unreasonably burden, or disrupt the integrity or performance of the Cloud Services or third-party data contained therein; (v) to attempt to gain unauthorized access to systems or networks; or (vi) to provide the Cloud Services to non-User third parties, including, by resale, license, lend or lease. 8.2 You will use commercially reasonable efforts to prevent and/or block any prohibited use by Users. 8.3 You will maintain any reasonable, appropriate administrative, physical, and technical level of security regarding Your account ID, password, antivirus and firewall protections, and connectivity with the Cloud Services. 8.4 You shall maintain strict security over all VoIP Services lines. You acknowledge that We do not provide You the ability to reach 911 or other emergency services and You agree to inform any individuals who may be present where the Cloud Services are used, or who use the Cloud Services, of the non-availability of 911 or other emergency dialing. 8.5 If the Cloud Services will be used to transmit or process Personal Data, You will ensure that all Personal Data is captured and used solely via the use of available Security Features.
Use of the Cloud Services. During the License Term, You may access the Cloud Services solely for Your internal business operations. You may not sublicense or transfer these rights, except as specifically provided in the XXXX. All other restrictions applicable to the Software in the XXXX will apply to your use of the Cloud Services.

Use of the Cloud Services. You can only make use of the Cloud Services when: (i) you have signed up by creating a Cloud Services account through Your Lansweeper Instance and accepting these Terms; (ii) your sign-up has been approved at the sole discretion of Lansweeper; and (iii) when Cloud Services are included in your Subscription Plan. After linking the Cloud Services to your Lansweeper Instance through the use of a unique key generated by Lansweeper, the Licensee Content will be uploaded and synced with the cloud, (“Cloud Services Sign-up”). As of Cloud Services Sign-up, You and your End-Users may, during the Term, access and use the Cloud Services, in accordance with these Terms.
Use of the Cloud Services or Software for providing time-sharing services, service bureau services or as part of an application services provider or software as a service offering. EnterpriseDB will have no obligation to provide Support if Customer has not paid all applicable fees payable pursuant to this Agreement, or is otherwise not in compliance with the terms of this Agreement.
