USE OF THE EXCLUDED IP. 12.1 Non-use of Excluded IP The Purchaser acknowledges and agrees (for itself and on behalf of each other member of the Purchaser’s Group and, after Completion, also each member of the Astra Tech Group) that nothing in any of the Transaction Documents shall operate as an agreement to transfer (nor shall transfer) any right, title or interest in any of the Excluded IP. The Purchaser shall not use or register, and shall procure that no other member of the Purchaser’s Group nor, after Completion, also any member of the Astra Tech Group, shall use or register, any of the Excluded IP, nor in relation to the Excluded Trade Marks, any name or mark confusingly similar to any of them, except as permitted expressly in this clause 12. For the avoidance of doubt notwithstanding the forgoing the Purchaser is permitted to use the Company Intellectual Property. In addition the Seller confirms that it shall not and shall procure that no other member of the Seller Group shall object to the use by a member of the Astra Tech Group of the unregistered marks "Astra Tech Implants" or "Astra Tech Dental Implants".

  • Trademark Use Each party (the “Trademark Party”) grants the other party a worldwide, non-exclusive, non-transferable royalty free limited license (with no right of sublicense) during the term of the Program Terms to use the Trademark Party’s Trademarks solely for the purpose of carrying out the terms of the Business Development Program and as otherwise contemplated by the Program Terms, including but not limited to, the promotion of the Oerings, the parties’ joint eorts and channel programs; provided, that, such Trademarks are used solely in accordance with the Trademark Party’s specifications as to style, color, and typeface, as such specifications may be modified by such party from time to time and communicated to the other party. Partner shall not aix any Wazuh Trademarks to products or services other than the genuine Oerings. Upon notice from the Trademark Party of its objection to any improper or incorrect use of the Trademark Party’s Trademarks, the other party shall correct or stop such usage as soon as reasonably practicable.

  • Excluded Inventions The provisions of Section 2.1 shall not apply to Inventions which fulfill all of the following criteria:

  • Trademark Usage Customer agrees that QuoVadis may use Customer’s name and trademark to perform its obligations under this Agreement and to indicate that Customer is receiving QuoVadis’s Service, provided that such use would not foreseeably diminish or damage Customer’s rights in any of its trademarks, create a misrepresentation of the parties’ relationship, or diminish or damage a party’s reputation. Neither party may register or claim any right in the other party’s trademarks. Customer grants QuoVadis a right to use any trademark of Customer included in the Certificate to the extent necessary to operate such Certificate.

  • Domain Names Licensee represents that it does not own any Internet domain names containing Citi Marks.

  • Use of Intellectual Property The Adviser grants to the Sub-Adviser a sublicense to use the trademarks, service marks, logos, names, or any other proprietary designations of the Adviser (“AdvisorShares Marks”) on a non-exclusive basis. The Sub-Adviser will acquire no rights in the AdvisorShares Marks, and all goodwill of the AdvisorShares Marks shall inure to and remain with the Adviser. The Sub-Adviser agrees that neither it, nor any of its affiliates, will knowingly in any way refer directly or indirectly to its relationship with the Trust, the Fund(s), the Adviser or any of their respective affiliates or use AdvisorShares Marks in offering, marketing or other promotional materials without the prior express written consent of the Adviser, which approval will not be unreasonably withheld or delayed, except as required by rule, regulation or upon the request of a governmental authority. Notwithstanding the forgoing, the Sub-Adviser and its affiliates may, without obtaining the Adviser’s prior approval, refer directly or indirectly to its relationship with the Trust, the Fund(s), the Adviser or any of their respective affiliates and use AdvisorShares Marks in offering, marketing or other promotional materials provided that such materials were previously approved by the Adviser and remain in substantially the same form.

  • Included Words When the context reasonably permits, words suggesting the singular shall be construed as suggesting the plural and vice versa, and words suggesting gender or gender neutrality shall be construed as suggesting the masculine, feminine and neutral genders.

  • Trademarks, Patents Borrower, as of the date hereof, possesses all necessary trademarks, trade names, copyrights, patents, patent rights, and licenses to conduct its business as now operated, without any known conflict with the valid trademarks, trade names, copyrights, patents and license rights of others.

  • No Improper Use of Materials During his or her employment with the Company, Employee will not improperly use or disclose any Confidential Information or trade secrets, if any, of any former employer or any other person to whom Employee has an obligation of confidentiality, and Employee will not bring onto the premises of the Company any unpublished documents or any property belonging to any former employer or any other person to whom Employee has an obligation of confidentiality unless consented to in writing by that former employer or person.
