Common use of Use of Transfer Agent's Name Clause in Contracts

Use of Transfer Agent's Name. The Funds shall not use the name of the Transfer Agent or any of its affiliates in any Prospectuses, Statements of Additional Information, sales literature or other material relating to the Trust in a manner not approved prior thereto in writing by the Transfer Agent; provided, however, that the Transfer Agent shall approve all uses of its and its affiliates' names that merely refer in accurate terms to their appointments hereunder or that are required by the Securities and Exchange Commission (the "SEC") or a state securities commission; and further provided, that in no event shall such approval be unreasonably withheld.
